Restrictions and Requirements for Permitted Users. Subscriber agrees, and agrees to cause its Registered Users, to only appoint as Registered Users, and only invite as Invited Users, persons (i) who are not, and are not employed by, Competitors of PTC, and (ii) who are using the Hosted Software directly in furtherance of Subscriber’s internal product development and information management operations. Subscriber acknowledges that when a Permitted User accesses the PLM On Demand System for the first time, the PLM On Demand System may require such Permitted User to (A) read and affirmatively agree online to certain terms of use, which shall contain restrictions consistent with the terms of this Agreement, and (B) provide certain personal information, which shall be used solely by the PLM On Demand System for purposes of identifying and verifying such Permitted User. Subscriber agrees to promptly suspend Authorized Passwords of any persons who (1) cease to qualify as Permitted Users, (2) Subscriber no longer wishes to have access to the Hosted Software or Hosted Data, or (3) Subscriber knows or reasonably believes Permitted Users are causing Subscriber to breach this Agreement or is in any way mishandling an Authorized Password. If PTC reasonably believes that a Permitted User is causing Subscriber to breach this Agreement or is in any way mishandling an Authorized Password, then PTC may, at its sole discretion, suspend the use of such Permitted User’s Authorized Password indefinitely, in addition to any other rights or remedies provided under this Agreement or under law.

For fiscal years ending before December 25, 2015, a Single Audit is required if the subrecipient expends $500,000 or more in federal assistance during its fiscal year and must be conducted in accordance with OMB Circular A-133. For fiscal years ending on or after December 25, 2015, a Single Audit is required if the subrecipient expends $750,000 or more in federal assistance during its fiscal year and must be conducted in accordance with 2 CFR Chapter I, Chapter II, Part 200, Subpart F. The Subrecipient Annual Report is required to be submitted within 45 days, whether or not a Single Audit is required.

  • Permitted and Required Uses/Disclosures of PHI 3.1 Except as limited in this Agreement, Business Associate may use or disclose PHI to perform Services, as specified in the underlying grant or contract with Covered Entity. The uses and disclosures of Business Associate are limited to the minimum necessary, to complete the tasks or to provide the services associated with the terms of the underlying agreement. Business Associate shall not use or disclose PHI in any manner that would constitute a violation of the Privacy Rule if used or disclosed by Covered Entity in that manner.   • Compliance with Accessibility Standards All parties to this Agreement shall ensure that the plans for and the construction of all projects subject to this Agreement are in compliance with standards issued or approved by the Texas Department of Licensing and Regulation (TDLR) as meeting or consistent with minimum accessibility requirements of the Americans with Disabilities Act (P.L. 101-336) (ADA).
