Restrictions on Business Activity. There is no order, and, except for the Option Agreement, there is no agreement, commitment or understanding, written or oral, binding upon the Caza Group or upon any director, officer or employee of such Person, that would now or hereafter, in any way, limit the business or operations of any member of the Caza Group in any material respect, including any order, agreement, commitment or understanding that includes a non- competition restriction, area of mutual interest, right of first refusal, right of first offer, exclusivity or other similar provision that has or would reasonably be expected to have the effect of prohibiting, restricting or impairing any business practices of any member of the Caza Group in any material respect.

Restrictions on Business Activity. There is no agreement (non-competition or otherwise), judgment, injunction, order or decree to which the Company or its Subsidiaries is a party or otherwise binding upon the Company or its Subsidiaries which has or would reasonably be expected to have the effect of , in any material respect, prohibiting or impairing any business practice of the Company or its Subsidiaries, any acquisition of property (tangible or intangible) by the Company or its Subsidiaries, the conduct of business by the Company or its Subsidiaries as presently conducted or proposed to be conducted by Company or its Subsidiaries, or otherwise limiting the freedom of the Company or its Subsidiaries to engage in any line of business, to conduct any business activities, or to compete with any person. Without limiting the generality of the foregoing, neither the Company nor its Subsidiaries has entered into any agreement under which the Company or its Subsidiaries is restricted from selling, licensing, manufacturing or otherwise distributing any of its technology or products or from providing services to customers or potential customers or any class of customers, in any geographic area, during any period of time, or in any segment of the market.

Restrictions on Business Activity. Neither Newmarket nor any of the Newmarket Subsidiaries nor any of its properties or assets is subject to any outstanding judgment, order, writ, injunction or decree that involves or may involve, or restricts or may restrict, the right or ability of Newmarket or any of the Newmarket Subsidiaries to conduct its business in all material respects as it has been carried on prior to the date hereof, or that has had or would reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect or would reasonably be expected to prevent or significantly impede or materially delay the completion of the Arrangement.

Restrictions on Business Activity. Other than as set out in Schedule C(z), no member of the Canada Group nor any of their respective properties or assets is subject to any outstanding judgment, order, writ, injunction, decree, non-competition agreement, non-solicitation agreement or any other agreement that involves or may involve, or restricts or may restrict, the right or ability of any member of the Canada Group to conduct its business as it has been carried on prior to the date hereof, or limits any business practice of any member of the Canada Group, or that have or would reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect or would reasonably be expected to prevent or significantly impede or materially delay the completion of the Arrangement.
