Revolving Xxxxxxxx Sample Clauses

Revolving Xxxxxxxx. Xxxxx under the Revolving Facility (each a “Revolving Loan” and, collectively, the “Revolving Loans”): (i) may be incurred by any Borrower at any time and from time to time on and after the Closing Date and prior to the Maturity Date; (ii) except as otherwise provided, may, at the option of any Borrower, be incurred and maintained as, or Converted into, Revolving Loans that are Base Rate Loans or Eurodollar Loans, in each case denominated in Dollars, provided that all Revolving Loans made as part of the same Revolving Borrowing shall, unless otherwise specifically provided herein, consist of Revolving Loans of the same Type; (iii) may be repaid or prepaid and reborrowed in accordance with the provisions hereof; (iv) may only be made if after giving effect thereto the aggregate principal amount of outstanding Loans and Letter of Credit Outstandings does not exceed the Total Revolving Commitment; and (v) shall not be made if, after giving effect to any such Loan, the sum of (i) the principal amount of Revolving Loans made by such Lender and outstanding at such time, and (ii) such Lender’s share of the Letter of Credit Outstandings at such time exceeds such Lender’s Revolving Commitment at such time. In addition, no Revolving Loans shall be incurred at any time if after giving effect thereto the Borrowers would be required to prepay Revolving Loans or cash collateralize Letter of Credit in accordance with Section 5.3(a).
