Right to direct suspension. ‌ (a) The Purchaser may in its absolute discretion suspend the performance of part or all of:‌ (i) the Works; or (ii) the Supplier's obligations under this Agreement, by giving the Supplier written notice. (b) The Supplier must not suspend the Works except: (i) as directed by the Purchaser under this clause 23.1; or (ii) in accordance with its statutory rights under the Security of Payment Act or the QBCC Act. (c) When the Supplier receives a notice of suspension under this clause 23, the Supplier must immediately suspend its performance of the Works, or performance of the relevant obligations, until such time as the Purchaser directs it by written notice to resume performance of the Works or performance of those obligations. At such time, the Supplier must promptly recommence the Works or the performance of the obligations, in accordance with this Agreement. (d) Where the suspension of the Supplier's obligations under clause 23.1(a) is caused by or necessary because of the acts or omissions of the Purchaser or its Personnel, then the Purchaser will reimburse the Supplier within a reasonable time of receipt of a detailed breakdown of the Supplier's claim for the extra costs properly and reasonably incurred by the Supplier as a direct consequence of the suspension. (e) The Supplier must take all steps and actions to minimise the cost to the Supplier and the Purchaser arising from a suspension.

  • Right to Grieve Where an employee feels that she has been aggrieved by a decision of the Employer related to promotion, demotion or transfer, the employee may grieve the decision at Step 3 of the grievance procedure in Article 9 of this Agreement within seven (7) days of being notified of the results.

  • No Right to Distributions in Kind No Partner shall be entitled to demand property other than cash in connection with any distributions by the Partnership.

  • Right to Disclose With respect to any information, knowledge, or data disclosed to the Contractor by the Subcontractor, the Subcontractor warrants that the Subcontractor has full and unrestricted right to disclose the same without incurring legal liability to others, and that the Contractor shall have the full and unrestricted rights to use and publish the same as it may see fit. Any restrictions on Contractor’s use of information, knowledge, or data disclosed by Subcontractor must be made known to Contractor.

  • Right to Refuse Unsafe Work Employees have the right to refuse to perform unsafe work pursuant to the Occupational Health and Safety Regulations of the Workers Compensation Act.

  • Right to Reject The Department reserves the right to accept or reject all proposals, or separable portions thereof, and to waive any minor irregularity, technicality, or omission if the Department determines that doing so shall serve the Department’s best interests. The Department may reject any proposal not submitted in the manner specified by the solicitation documents.

  • Right to Refuse Overtime All employees shall have the right to refuse to work overtime, except when required to do so in emergency situations, without being subject to disciplinary action for so refusing.

  • Right to Review TFC reserves the right to review the insurance requirements and to require deletion, revision, and/or modification of particular policy terms, conditions, limitations, or exclusions (except where policy provisions are established by law or regulations that are binding upon TFC, PSP, or the underwriter) on any such policies when deemed necessary and prudent by TFC based upon changes in statutory law, court decisions, or the claims history of the industry and/or of PSP, provided however, such modifications must be commercially available to PSP. TFC shall make an equitable adjustment to the Contract Sum for any additional cost resulting therefrom.

  • RIGHT TO MONITOR AND AUDIT COUNTY, State and Federal Governments shall have the right to monitor all work performed under this Agreement to assure that all-applicable State and Federal regulations are met. COUNTY, State and Federal Governments shall have the right to audit all work, records and procedures related to this Agreement to determine the extent to which the program is achieving its purposes and performance goals. COUNTY will have the right to review financial and programmatic reports and will notify CONTRACTOR of any potential Federal and/or State exception(s) discovered during such examination. COUNTY will follow-up and require that the CONTRACTOR takes timely and appropriate action on all deficiencies. Failure by the CONTRACTOR to take timely and appropriate action on all deficiencies shall constitute a material breach of this Agreement.
