Right to Grant Licenses. You represent that You are legally entitled to grant the above licenses. If your employer(s) has (have) rights to intellectual property that you create that includes your Contributions, you represent that you have received permission to make Contributions on behalf of that employer, that your employer has waived such rights for your Contributions to ON.Lab, or that your employer has executed a separate Corporate CLA with ON.Lab.
Right to Grant Licenses. ISL warrants that it has the right to grant licenses to the Software.

Such Party has the right to grant (or cause its Affiliates to grant) the licenses contemplated under this Agreement and has not granted, assigned, transferred, or conveyed, and will not during the Term, grant, assign, transfer or convey any right, title or interest in, (i) in the case of VBI, any of the VBI Technology and (ii) in case of Brii Bio, its interest in the Brii Bio Technology, in any such case which grant, assignment, transfer or conveyance would conflict with the rights granted to the other Party hereunder.
Right to Grant Licenses. Caliper has all requisite right and authority to grant to Lilly the License.
