Common use of Right to Revoke Approval Clause in Contracts

Right to Revoke Approval. DIR may revoke its prior approval of a Subcontractor and direct Service Provider to replace any Subcontractor as soon as possible at no additional cost to DIR, if the Subcontractor's performance is materially deficient or if there are other reasonable grounds for removal (which reasonable grounds would include Service Provider's failure to obtain the rights set forth in Section 9.11(d)). Service Provider shall have a reasonable opportunity to investigate DIR's concerns, correct the Subcontractor's deficient performance and provide DIR with a written action plan to assure that such deficient performance shall not recur. If DIR is not reasonably satisfied with Service Provider's efforts to correct the Subcontractor's deficient performance and/or to prevent its recurrence, Service Provider shall, as soon as possible, remove and replace such Subcontractor. Service Provider shall continue to perform its obligations under this Agreement, notwithstanding the removal of the Subcontractor. DIR shall have no responsibility for any termination charges or cancellation fees that Service Provider may be obligated to pay to a Subcontractor as a result of the removal of such Subcontractor at DIR's request or the withdrawal or cancellation of the Services then performed by such Subcontractor as permitted under this Agreement.

Service Provider Successful Respondent shall have a reasonable opportunity to investigate DIR's concerns, correct the Subcontractor's deficient performance and provide DIR with a written action plan to assure that such deficient performance shall not recur. Service Provider Successful Respondent shall continue to perform its obligations under this Agreement, notwithstanding the removal of the Subcontractor. DIR shall have no responsibility for any termination charges or cancellation fees that Service Provider Successful Respondent may be obligated to pay to a Subcontractor as a result of the removal of such Subcontractor at DIR's request or the withdrawal or cancellation of the Services then performed by such Subcontractor as permitted under this Agreement.

DIR may Allegheny also shall have the right during the Term to revoke its prior approval of a Subcontractor and direct Service Provider to replace any such Subcontractor as soon as possible at no additional cost to DIRAllegheny, if the Subcontractor's ’s performance is materially deficient or if there are other reasonable grounds for removal (which reasonable grounds would include Service Provider's failure to obtain the rights set forth in Section 9.11(d))removal. Service Provider shall have a reasonable opportunity to investigate DIR's Allegheny’s concerns, correct the Subcontractor's ’s deficient performance and provide DIR Allegheny with a written action plan to assure that such deficient performance shall will not recur. If DIR Allegheny is not reasonably satisfied with the Service Provider's ’s efforts to correct the Subcontractor's ’s deficient performance and/or to prevent ensure its non-recurrence, the Service Provider shall, as soon as possible, remove and replace such Subcontractor. Service Provider shall continue to perform its obligations under this Agreement, notwithstanding the removal of the Subcontractor. DIR Allegheny shall have no responsibility for any termination charges or cancellation fees that Service Provider may be obligated to pay to a Subcontractor as a result of the removal of such Subcontractor at DIR's Allegheny’s request or the withdrawal or cancellation of the Services then performed by such Subcontractor as permitted under this Agreement.

Service Provider Except as provided herein, Successful Respondent shall have a reasonable opportunity to investigate DIR's concerns, correct the Subcontractor's deficient performance and provide DIR with a written action plan to assure that such deficient performance shall not recur. If DIR is not reasonably satisfied with Service Provider's Successful Respondent’s efforts to correct the Subcontractor's deficient performance and/or or to prevent its recurrence, Service Provider Successful Respondent shall, as soon as possible, remove and replace such Subcontractor. Service Provider DIR may request immediate removal of a Subcontractor in the event that any breach described in Section 14.1.1 By DIR or Section 14.9 Absolute Right is attributable to such Subcontractor or if such Subcontractor becomes the subject of or party to a criminal indictment or conviction (whether or not such indictment or conviction directly impacts the provision of the Services). Successful Respondent shall continue to perform its obligations under this Agreement, notwithstanding the removal of the Subcontractor. DIR shall have no responsibility for any termination charges or cancellation fees that Service Provider Successful Respondent may be obligated to pay to a Subcontractor as a result of due to the removal of such Subcontractor at DIR's request or the withdrawal or cancellation of the Services then performed by such Subcontractor as permitted under this AgreementSubcontractor.

DIR TxDOT may revoke its prior approval of a Subcontractor and direct Service Provider to replace any Subcontractor as soon as possible at no additional cost to DIRTxDOT, if the Subcontractor's performance is materially deficient or if there are other reasonable grounds for removal (which reasonable grounds would include Service Provider's failure to obtain the rights set forth in Section 9.11(d)). Prior to TxDOT directing Service Provider to replace a Subcontractor, Service Provider shall have be provided a reasonable opportunity to investigate DIRTxDOT's concerns, correct the Subcontractor's deficient performance and provide DIR TxDOT with a written action plan to assure that such deficient performance shall not recur. If DIR TxDOT is not reasonably satisfied with Service Provider's efforts to correct the Subcontractor's deficient performance and/or to prevent its recurrence, Service Provider shall, as soon as possible, remove and replace such Subcontractor. Service Provider shall continue to perform its obligations under this Agreement, notwithstanding the removal of the Subcontractor. DIR TxDOT shall have no responsibility for any termination charges or cancellation fees that Service Provider may be obligated to pay to a Subcontractor as a result of the removal of such Subcontractor at DIRTxDOT's request or the withdrawal or cancellation of the Services then performed by such Subcontractor as permitted under this Agreement.
