Rights, Title and Use of Project Facilities. (a) The Concessionaire shall have the right to the use of Project Facilities in accordance with the provisions of this Agreement and for this purpose, it may regulate the entry into or use of the same by third parties. (b) The Concessionaire shall not part with or create any Encumbrance on the whole or any part of the Project Facilities, save and except as set forth and permitted under this Agreement. (c) The Concessionaire shall not, without the prior written approval of MCD, use the Project Facilities for any purpose other than for the purpose of the Project and purposes incidental or ancillary thereto. (d) The Concessionaire shall allow access to and use of the Facility Site and Workshop Site for laying/installing/ maintaining telegraph lines, electric lines or for such other public purposes as MCD may specify. Provided that such access or use shall not result in a Material Adverse Effect and that MCD shall, in the event of any physical damage to the Project Facilities on account thereof, ensure that the Project Facilities are promptly restored at its cost and expenses. Provided further, that to the extent such access and use allowed by the Concessionaire affects the performance of any of its obligations hereunder, the Concessionaire shall not be deemed or construed to be in breach of its obligations nor shall it incur/suffer any liability on account thereof.

Rights, Title and Use of Project Facilities. (a) The Concessionaire shall have the right to use the Project Facilities in accordance with the provisions of this Agreement and for this purpose, it may regulate the entry into or use of the same by third parties. Provided that ULB shall have the right to put up advertisements on the Project Facilities and retain any and all revenue generated from such activity. The Concessionaire shall provide full support/ cooperation to the ULB in the same. For avoidance of doubt, it is clarified that the Concessionaire shall have no rights to display any advertisement on the Project Facilities or part thereof. (b) The Project Facilities are and shall continue to be the property of ULB. (c) The Concessionaire shall not part with or create any Encumbrance on the part of the Project Facilities including the Project Site, save and except as set forth and permitted under this Agreement. (d) The Concessionaire shall not be allowed to use the Project Facilities for any purpose other than for the purpose of the Project and purposes incidental or ancillary thereto. (e) The Concessionaire shall allow access to and use of the Project Site for laying/ installing/ maintaining telegraph lines, electric lines or for such other public purposes as ULB may specify / require from time to time.   • Maintenance and Use of Property Borrower shall cause the Property to be maintained in a good and safe condition and repair. The Improvements and the Personal Property shall not be removed, demolished or materially altered (except for normal replacement of the Personal Property or as permitted in the PETsMART Lease) without the consent of Lender. Except as provided in Section 3.8(f) hereof, Borrower shall promptly repair, replace or rebuild or cause to be repaired, replaced or rebuilt, any part of the Property which may be destroyed by any casualty, or become damaged, worn or dilapidated or which may be affected by any proceeding of the character referred to in Section 3.6 hereof and shall complete and pay for any structure at any time in the process of construction or repair on the Land. Borrower shall not initiate, join in, acquiesce in, or consent to any change in any private restrictive covenant, zoning law or other public or private restriction, limiting or defining the uses which may be made of the Property or any part thereof, provided, that Borrower shall be permitted to enter into easement agreements or grant rights of way so long as such agreements or grants do not reduce the value of the Property or impair its use, and so long as Borrower has delivered to Lender a title endorsement satisfactory to Lender with respect to such agreements and/or rights of way. If under applicable zoning provisions the use of all or any portion of the Property is or shall become a nonconforming use, Borrower will not cause or permit the nonconforming use to be discontinued or the nonconforming Improvement to be abandoned without the express written consent of Lender.

  • Use of Project Issuer does hereby covenant and agree that it will not take any action during the term of this Agreement, other than pursuant to Article IX of this Agreement or Article IX of the Indenture, to interfere with Company's ownership of the Project or to prevent Company from having possession, custody, use and enjoyment of the Project.

  • Contracts Concerning Use of Project The Recipient agrees that during the Agreement Term it will not contract with any Private Person for use of the Project or any portion thereof or the facility or facilities of which the Project is a part for any Private Business Use unless all of the conditions of subparagraph F.3.a., subparagraph F.3.b. or subparagraph F.3.c. are met: a. If the compensation of the Private Person is based entirely on a periodic, fixed fee that contains no incentive adjustments, all of the following conditions must be met: (A) no amount of compensation is based on a share of the net profits; (B) the compensation is reasonable; (C) the term of the contract does not exceed five (5) years (including any renewal option periods provided for in the contract);

  • Interconnection Facilities Engineering Procurement and Construction Interconnection Facilities, Network Upgrades, and Distribution Upgrades shall be studied, designed, and constructed pursuant to Good Utility Practice. Such studies, design and construction shall be based on the assumed accuracy and completeness of all technical information received by the Participating TO and the CAISO from the Interconnection Customer associated with interconnecting the Large Generating Facility.

  • Use of Property The Property as defined herein shall be for the sole and exclusive use and occupation by the Tenant(s) and same’s exclusive family namely:

  • Construction of Project 11.1.1 Developer agrees to cause the Project to be developed, constructed, and installed in accordance with the terms hereof and the Construction Provisions set forth in Exhibit D, including those things reasonably inferred from the Contract Documents as being within the scope of the Project and necessary to produce the stated result even though no mention is made in the Contract Documents.

  • Exclusive Property The Executive confirms that all protected information is and shall remain the exclusive property of the Company Group. All business records, papers and documents kept or made by the Executive relating to the business of the Company shall be and remain the property of the Company Group.
