Risk Management Services Framework Agreement with Shandong Steel. The Company intends to provide risk management services to Shandong Steel and/or its associates from 2017 onwards. As Shandong Steel is a Controlling Shareholder and a Connected Person of the Company, the aforesaid transaction constitutes a Connected Transaction of the Company, and is subject to the Continuing Connected Transaction requirements under Chapter 14A of the Listing Rules. The Company entered into the Risk Management Services Framework Agreement with Shandong Steel on 28 April 2017 (after trading hours), and proposed the annual caps for 2017, 2018 and 2019 under the Risk Management Services Framework Agreement. Bulk Commodities Sale and Purchase Framework Agreement with Shandong Steel References are made to the announcements of the Company dated 26 October 2016 and 8 December 2016 in relation to the Hot Rolled Wide Steel Plate Purchase Agreement between the Company and Laiwu Steel. As Luzheng Trading, a wholly-owned subsidiary of the Company, will continue to purchase bulk commodities, including hot rolled wide steel plates and rebar, from Shandong Steel and/or its associates, and Shandong Steel and/or its associates also intend to purchase raw materials, including cokes and iron ore, from Luzheng Trading, the Company is subject to the Continuing Connected Transaction requirements under Chapter 14A of the Listing Rules. As such, Luzheng Trading entered into the Bulk Commodities Sale and Purchase Framework Agreement with Shandong Steel on 28 April 2017 (after trading hours), and proposed the annual caps for 2017, 2018 and 2019 under the Bulk Commodities Sale and Purchase Framework Agreement.
