SATISFACTION OF CONDITIONS AND MAINTENANCE RESPONSIBILITIES. At such time as all the above conditions have been met, Town shall cause the Resolution Closing a portion of Crew Drive (if adopted by the Board) and the plat and written Road Easement to be recorded. Thereafter, C4 shall construct, pave and complete the public vehicular access road to the Town’s specifications and as shown on approved plans no later than December 31, 2018, and C4 and its successors and assigns shall have the continuing permanent obligation to maintain, repair, repave and reconstruct the road easement to the Town’s requirements and specifications as a town street. In the event the easement should become unsafe, fall into a state of disrepair, need repairs or improvements, and the Town, upon giving 30 days written notice to C4 or its successor and assigns, as to the requested or needed repairs or improvements and the failure of C4 to undertake and complete the same, shall have the right to complete the repairs or improvements, and C4 shall be obligated to reimburse Town the costs plus interest at the legal rate until paid.

  • MAINTENANCE OF CONDITIONS Conditions of employment in effect at the execution of this Agreement shall, except as improved herein, be maintained during the term of this Agreement.

  • Maintenance Responsibilities 42. Agency shall, at its own expense, maintain operate, and provide power as needed upon Project completion at a minimum level that is consistent with normal depreciation and/or service demand and throughout the useful life of the Project. The useful life of the Project is defined in the Special Provisions. State may conduct periodic inspections during the life of the Project to verify that the Project is properly maintained and continues to serve the purpose for which federal funds were provided. Maintenance and power responsibilities shall survive any termination of the Project Agreement. In the event the Project will include or affect a state highway, this provision does not address maintenance of that state highway.

  • Operations and Maintenance Notice Each Party shall notify the other Parties in writing of the identity of the person(s) that it designates as the point(s) of contact with respect to the implementation of Articles 9 and 10.

  • Operations and Maintenance Pursuant to Section 10.5 of this Agreement, Developer shall pay the reasonable expenses (including overheads) for the operation, maintenance, repair and replacement of Transmission Owner’s Attachment Facilities and incremental operating and maintenance expenses incurred in association with System Upgrade Facilities, if and to the extent provided for under Attachment S.   • Termination of Contractor’s Responsibilities This Agreement will be considered complete when all work has been completed and accepted by the COUNTY and all warranty periods have expired. The CONTRACTOR will then be released from further obligation except as set forth in this Agreement.

  • General Conditions Costs Construction Manager is entitled to receive payment for the actual cost of the allowable General Conditions items incurred after receipt of a Notice to Proceed with Construction from the Owner through Substantial Completion of the Project plus thirty (30) calendar days. Construction Manager is not entitled to reimbursement for General Conditions Costs incurred before receipt of the Notice to Proceed. General Conditions Costs incurred after Substantial Completion must be approved in advance by the Owner. Allowable General Conditions items are identified below and by attached exhibit. Items not specifically included below or in the exhibit will not be allowed as a General Condition costs.

  • Responsibilities of Contractor A. The Contractor shall perform all work on the described project as required by the Contract documents. The work to be performed includes the labor and services necessary to produce such replacement, and all materials, supplies, tools, transportation, equipment, and machinery required for replacement.

  • Engineer Responsibilities No subcontract relieves the Engineer of any responsibilities under this contract.

  • Responsibilities of Consultant a. Consultant, as an independent contractor to Client, shall perform the Scope of Work (Exhibit A) in accordance with, and subject to, the other provisions of this Agreement.

  • Responsibilities of Both Parties 61.4.1 The Parties shall jointly coordinate the provisioning of transport capacity sufficient to route originating 911 calls from Carrier to the designated CenturyLink 911 Selective Router(s).
