Responsibilities of Consultant a. Consultant, as an independent contractor to Client, shall perform the Scope of Work (Exhibit A) in accordance with, and subject to, the other provisions of this Agreement.
b. The Scope of Work shall be performed in accordance with all applicable federal, state, and local rules and regulations including, but not limited to, the requirements of the Storage Tank and Spill Prevention Act (Act 32 of 1989, as amended) and Pa. Code, Title 25, Chapter 245, established under the Land Recycling and Environmental Remediation Standards Act (Act 2 of 1995) and Pa. Code, Chapter 250 (Administration of Land Recycling Program).
c. Consultant shall perform the Scope of Work for an amount not to exceed the Base Contract Price (“BCP”) of $[insert BCP] plus any Cost Adders, Optional Milestones and/or Unit Costs, subject to all other provisions of this Agreement.
d. Consultant shall participate in periodic site meetings with the Client and PAUSTIF for site status updates. Consultant will be provided no less than ten (10) days written notice of the date, time, and location of the meeting by the Client/PAUSTIF through their third party administrator.
Responsibilities of Consultant. The services to be provided by Consultant are described in Exhibit A. In the event of any discrepancy between this Contract and Exhibit A, the terms of this Contract shall prevail.
Responsibilities of Consultant. All work performed by Consultant, or under Consultant’s direction, shall be rendered in accordance with the generally accepted practices, and to the standards of, Consultant's profession. Consultant represents and warrants that Consultant: (i) is fully experienced and properly qualified to perform the work and services provided for herein, (ii) has the financial capability required for the performance of the work and services, and (iii) is properly equipped and organized to perform the work and services in a competent, timely, and proper manner, in accordance with the requirements of this Agreement. Consultant shall not undertake any work beyond the Scope of Work set forth in Exhibit A unless such additional work is approved in advance and in writing by City. The cost of such additional work shall be reimbursed to Consultant by City on the same basis as provided for in Section 4. If, in the performing the work, it is necessary to conduct field operations, security and safety of the job site will be the Consultant's responsibility excluding, nevertheless, the security and safety of any facility of City within the job site which is not under the Consultant's control. Consultant shall meet with [DEPT HEAD NAME], Director of the [ ] Department, hereinafter called "Director", or other designated and authorized City personnel, or third parties as necessary, on all matters connected with carrying out of Consultant’s services described in Exhibit A. Such meetings shall be held at the request of either Party. Review and City approval of completed work shall be obtained monthly, or at other intervals as may be mutually agreed upon during the course of this Agreement.
Responsibilities of Consultant. 1.1 CONSULTANT shall undertake to carry on the scope of services as listed in the attached Scope of Services (refer to Exhibit “A”), which is attached to and made a part of this Agreement. To the extent the provisions of Exhibit “A” are ambiguous in relation to the provisions of this Agreement, inconsistent with the provisions of this Agreement, or expand upon the provisions of this Agreement, the provisions of this Agreement shall take precedence and the provisions of Exhibit “A” shall not apply. These duties may be adjusted from time to time as agreed upon in writing by CONSULTANT and CITY. Any additional services authorized by CITY shall be subject to all terms and conditions of this Agreement, except as modified in writing in accordance with Section 24.
Responsibilities of Consultant a) Consultant shall perform all Services as indicated in this Agreement to the Satisfaction of District.
b) The specific Services of Consultant to be performed shall be indicated in Exhibit “D”, attached to this Agreement.
c) Consultant hereby represents and warrants that (a) it is an experienced consultant in the discipline(s) identified in Exhibit “D,” having the skill, legal and professional ability, and flexibility necessary to perform all of the Services required under this Agreement; (b) it has the capabilities and resources necessary to perform its obligations hereunder; (c) it is familiar with all current laws, rules, regulations and other restrictions which are and may become applicable to the Scope of Services under this agreement, including but not limited to all local ordinances, building codes, and requirements from all Authorities Having Jurisdiction (“AHJ”) including, but not limited to, the Division of the State Architect (“DSA”), the Office of Public School Construction (“OPSC”), the State Facilities Planning Division (“SFPD”), California Department of Education (”CDE”), the California Department of General Services (“DGS”), the Department of Toxic Substance Control (“DTSC”), the California Environmental Quality Act (“CEQA”), Title 24 of the California Code of Regulations, the California Education Code, State and Local Fire Authorities, air quality districts, water quality and control boards, and any/all other AHJ; (d) it will assume all responsibility for all Services performed and all work prepared and furnished to District by its employees, agents, and subconsultants; (e) it has sufficient financial strength and resources to undertake and complete the Services provided for under this Agreement within the schedule and/or Term set forth in this Agreement; and (f) it certifies and covenants that all reports, certifications, studies, analyses, and other documents prepared by Consultant shall be prepared in accordance with all applicable laws, rules, regulations, and other requirements in effect at the time of their preparation, or required at their time of submittal to District and/or any applicable agencies.
d) Consultant shall follow accepted industry standards and practices and comply with all federal, state and local laws and ordinances applicable to the Services required by this Agreement.
Responsibilities of Consultant. Consultant will perform the Professional Services in accordance with written Task Orders issued by City and agreed to by Consultant. Task Orders will be substantially similar to the form provided in Exhibit C.

Responsibilities of Consultant. A) Consultant shall complete the services outlined in the scope of work shown in Attachment A.
B) As required by California Government Code Section 7550, each document or report prepared by Consultant, for or under the direction of SRTA pursuant to this agreement, shall contain the numbers and dollar amount of the agreement and all subcontracts under the agreement relating to the preparation of the document or written report. If multiple documents or written reports are the subject of the agreement or subcontracts, the disclosure section may also contain a statement indicating that the total contract amount represents compensation for multiple documents or written reports. Consultant shall label the bottom of the last page of the document or report as follows: Shasta Regional Transportation Agency, agreement number, and dollar amount. If more than one document or report is produced under this agreement, Consultant shall add: “This [document or report] is one of [number] produced under this agreement.”
Responsibilities of Consultant. 5.1. The Consultant shall provide an estimate of the total hours required to complete projects assigned to Consultant and propose a completion date for each project. If the estimate and proposed completion date is accepted by the City, the Consultant shall complete the task within the limits of this Contract which shall be adjusted, if necessary, as the project proceeds. Consultant's services shall be performed as expeditiously as is consistent with customary and reasonable professional standards and the orderly progress of the project. Consultant agrees to perform all services hereunder, using customary and reasonable professional standards. Consultant agrees to keep City thoroughly informed of its progress through periodic reports, and to maintain accurate records relating to its services in connection with this project.
5.2. Consultant may have a direct contract with a person or entity to perform a portion of services required by this Contract. Such subcontract to other consultants is at the Consultant's expense, to the extent Consultant deems it necessary. Consultant agrees that it is as fully responsible to City for negligence, negligent acts and omissions of Consultant's sub-consultants and sub-contractors and their agents, and/or persons either directly or indirectly employed by them, as it is for the negligence, negligent acts or omissions of a person that is directly employed by Consultant to the extent such acts or omissions are caused by Consultant's employees, agents, or sub-consultants. Nothing in the foregoing procedure shall create any contractual relationship between City and any sub-consultants employed by Consultant under the terms of this Contract. By written Contract, Consultant shall require each sub- consultant, to the extent of the services to be performed by sub-consultant, to be bound to Consultant by the terms of this Contract, and to assume toward Consultant all obligations and responsibilities which Consultant, by this Contract, assumes toward City.
5.3. Consultant shall consult, to the extent required by City, with authorized employees, agents and/or representatives of City relative to the completion of any assigned project.
5.4. Consultant shall designate a principal or member of Consultant's staff satisfactory to City as the Project representative who shall, so long as their performance continues to be acceptable to City remain in charge of the services provided under this Contract.

Responsibilities of Consultant. A. In rendering the professional services, CONSULTANT is an independent contractor, the DISTRICT being interested only in the result obtained, and the manner and means of conducting such professional services will be under the sole control of CONSULTANT, except that nothing herein shall be deemed to negate DISTRICT's right to direct the nature of the Services requested and to direct the work in terms of timing and coordination with the Projects.
B. CONSULTANT shall secure approval of DISTRICT prior to executing contracts with subcontractors and prior to retaining subcontractors for any portion of services for DISTRICT.
C. CONSULTANT shall be as fully responsible to DISTRICT for the negligent acts, errors, and/or omissions of its subcontractors, as it is for the negligent acts, errors and/or omissions of persons directly employed by it. CONSULTANT will be responsible for review and billing accuracy and for the direct payment for Services completed or equipment/materials supplied by all of its subcontractors.
D. Nothing contained in the Agreement shall create any contractual relationship between any subcontractor and DISTRICT.
