Responsibilities of Both Parties. 6.1 The CLEC providing the circuit between CLEC’s office and SBC-12STATE’s office shall make such circuits available for use in connection with the DA services covered herein. When the total traffic exceeds the capability of the existing circuits, additional circuits will be provided by the CLEC. 6.2 Where applicable, if additional ADAX cards and ASN Routers (with sync and token ring cards) are necessary, they will be provided by SBC-12STATE, and CLEC will reimburse SBC-12STATE for the cost, plus Engineering, Furnish and Installation.

Responsibilities of Both Parties. 71.4.1 The Parties shall jointly coordinate the provisioning of transport capacity sufficient to route originating 911 calls from CLEC to the designated CenturyLink 911 Selective Router(s). 71.4.2 Where SS7 connectivity is available and required by the applicable PSAP, the Parties agree to implement Common Channel Signaling trunking rather than CAMA MF trunking. 71.4.3 CenturyLink and CLEC will cooperate to promptly test all trunks and facilities between CLEC’s switch and the CenturyLink SR(s) in accordance with industry standards. 71.4.4 CLEC is responsible for the isolation, coordination and restoration of all 911 network maintenance problems on its network (including any facilities not from CenturyLink). CenturyLink will be responsible for the isolation, coordination and restoration of all 911 network maintenance problems on its network. CLEC is responsible for advising CenturyLink of the 2-6 code (TSC) and the fact that the trunk group is a 911 trunk group when notifying CenturyLink of a failure or outage. The Parties agree to work cooperatively and expeditiously to resolve any 911 outage. CenturyLink will refer network trouble to CLEC if no defect is found in CenturyLink’s 911 network. The Parties agree that 911 network problem resolution will be managed expeditiously at all times.

Responsibilities of Both Parties. 6.1 Once this Agreement takes effect, neither party may rescind the Agreement without cause, otherwise the party rescinding the Agreement without cause shall pay the other party 10% of the total contract amount as liquidated damages. 6.2 Except for force majeure such as natural disasters and government mandates, Party B shall complete all work with quality and quantity guaranteed according to the work schedule approved by Party A or within the specified time, otherwise Party B shall be deemed to have breached this Agreement. For each day of delay, Party B shall pay 3‰ of Party A's service fee as liquidated damages per day. If Party B still cannot complete the work after more than 5 working days, Party A has the right to unilaterally terminate the performance of this Agreement and Party B shall pay 10% of the total contract price as liquidated damages. 6.3 If Party A fails to provide the necessary information required for Party B’s service within the specified time, or fails to put forward clear modification opinions on Party B's advertising programs within the specified time, the time for Party B's completion of the work shall be extended accordingly. 6.4 Party A and Party B shall strictly comply with this Agreement, abide by the contract spirit and keep trade secrets strictly confidential, and shall not disclose any terms of this Agreement (including relevant production costs, design results, etc.) to any third party. Party B shall not disclose Party A's product planning to any third party. In case of such disclosure, Party A has the right to hold Party B legally liable, and Party B shall compensate Party A for all economic losses.
