SCOPE AND KEY TERMS. This is a legal agreement (this “Agreement”) concerning Customer’s use of the Licensed Product, described below, during the Evaluation Period.

The rights granted to the Software are expressly conditioned upon acceptance of these Terms and Conditions by the legal entity or person acquiring the license and, if applicable, responsible for payment. If you are using the Software as an employee, the legal entity that employs you is the "licensee." Your employer may have already accepted a version of these Terms and Conditions by signing an Order Schedule referencing them. In all other circumstances, you are binding your employer, and yourself personally as an employee, to these Terms and Conditions by using the Software. References below to "you" or "your" refer to the licensee of the Software. Coverity is the "licensor," regardless of whether you received the Software from Coverity directly or an authorized distributor. The Software is the proprietary information of Coverity or its suppliers who retain exclusive title to their intellectual property rights in the Software. Your rights to the Software are limited to those expressly granted below and Coverity reserves all rights not expressly granted in this Agreement.
SCOPE AND KEY TERMS. 1.1 This Agreement applies to the Dell Offerings purchased direct from Dell and resold by Partner. Each Purchase Agreement shall be governed by the terms of this Agreement. Purchase Agreements cannot be cancelled by the Partner.
1.2 These terms and any documents contained and/or referred to herein apply in the following order of priority:
(1) Order Document (to the extent of the individual order only), (2) these Operative Provisions; (3) the Further Terms (Schedule 2); and (4) Commercial Terms of Resale (Schedule 1) and relevant Appendices.
1.3 There is no minimum purchase requirement (does not affect targets or applicable minimum order quantities).
1.4 Partner is free to set its own price to its customers (save in relation to Insurance Products where Partner acts as Dell’s billing agent and where maximum pricing applies as per Schedule 1, Insurance Appendix).
1.5 Partner agrees to actively target Focus Customers and resell Dell Offerings to Focus Customers located in Partner’s Focus Area. If Partner’s Focus Area is within the European Economic Area (“EEA”), Partner is free to sell within EEA to any end user other than the Focus Customer and Partner hereby agrees NOT to sell to any party located outside the EEA.

Customer’s rights to the Licensed Product are limited to those expressly granted below and ValiantSec reserves all rights not expressly granted in this Agreement.

The Software is licensed, not sold. The Software is the proprietary information of Delphix or its licensors who retain exclusive title to their intellectual property rights in the Software. Your rights to the Software are limited to those expressly granted below and Delphix reserves all rights not expressly granted in this Agreement.

This Evaluation License Agreement (the “eEULA” or “AgreemenĒ”) is a legal agreement and governs the products and services you (the “CusĒomer”, “Licensee”, or “you”) use from EMode Photonix, LLC, a Colorado limited liability company (“EMode”, “we”, “our”, or “us”). EMode and Customer may also be referred to individually as a “Party” or collectively as “Parties.” The Licensed Product is the proprietary information of EMode or its suppliers who retain exclusive title to their intellectual property rights in the Licensed Product. Customer’s rights to the Licensed Product are limited to those expressly granted below and EMode reserves all rights not expressly granted in this Agreement.
