SCOPE AND PURPOSE DEFINITIONS. A. Evaluation Cycle: The period from the establishment of a professional growth or improvement plan through the issuance of an evaluation rating, in the year in which an evaluation rating is required by this contract or Ohio Rev. Code.

SCOPE AND PURPOSE DEFINITIONS a) Consultant is a business associate of the employee health benefit plan sponsored by Employer under the applicable provisions of the Health Insurance Portability and Accountability Act (“HIPAA”) and the regulations thereunder. b) Prime is a business associate of Health Care Services Corporation and has a contract with HCSC to provide pharmacy benefit management services to individuals and employer groups, which contract includes provisions regarding confidential and proprietary information. c) Consultant and ▇▇▇▇▇▇ has been retained by Employer to review data relating to the health benefit plan and all benefits thereunder. d) Prime has provided or will provide to Consultant and Broker access to certain confidential and proprietary and trade secret information and data of Prime and Employer in order to evaluate and carry out a current or future business relationship (“Relationship”).

SCOPE AND PURPOSE DEFINITIONS. This Agreement serves as a binding agreement covering the terms specifically set forth below. This Agreement amends the Merger Agreement and the First Amendment as provided below. Except as provided below or in the other agreements and documents referred to in, or contemplated by, this Agreement, the Merger Agreement, the First Amendment and the other agreements and instruments between SYFS and its affiliates on the one hand and Beasleys or CB on the other hand remain in full force and effect. Capitalized terms defined in the Merger Agreement and the First Amendment have the same meanings in this Agreement unless a different definition is established in this Agreement or the context clearly indicates another meaning should obtain.
