On and as of the Closing Date, the authorized Capital Stock of Holdings consists of 6,000,000 shares of common stock, par value $0.01 per share, of which 3,505,699 shares are issued and outstanding, and 1,500,000 shares of nonvoting common stock, par value $0.01 per share, of which 1,012,842 shares are issued and outstanding. On and as of the Closing Date, the authorized Capital Stock of Borrower consists of 100,000 shares of common stock, par value $1.00 per share, of which 20,000 shares are issued and outstanding. There are no outstanding or authorized (i) options, warrants, purchase rights, subscription rights, conversion rights, exchange rights, or other contracts or commitments, other than this Agreement, that could require the Company or Tejas to issue, sell, or otherwise cause to become outstanding any member interests in the Company or (ii) securities or rights convertible into or exchangeable or exercisable for, membership interests of the Company or any contracts, commitments, understandings or arrangements by which the Company or Tejas is or may be bound to issue, redeem, purchase or sell membership interests in the Company or securities convertible into or exchangeable for any such membership interests in the Company.
