Security Acknowledgment Form. The Vendor must sign the Security Acknowledgement Form, which is attached to this MSA as Attachment C. Before work on a SOW may begin, the signed Security Acknowledgement form must be approved by BIT and the approval must communicated to the Vendor. This form constitutes the agreement of the Vendor to be responsible and liable for ensuring that the Vendor and its employees and subcontractors participating in the work will abide by the policies found within the ITSP. Failure to abide by the requirements of the ITSP or the Security Acknowledgement form is considered a breach of this MSA and any applicable SOW. The Vendor is required to submit a new signed Security Acknowledgment Form when a new employee or subcontractor begins work on the project after the original Form is approved by the State; failure to do is a breach of this MSA and applicable SOW. The State reserves the right to require the removal of an employee or subcontractor from the project covered by a SOW if that employee or subcontractor violated any requirement of the ITSP.

Security Acknowledgment Form. The Vendor will be required to sign the Security Acknowledgement Form which is attached to this Agreement as Exhibit . The signed Security Acknowledgement Form must be submitted to the State and approved by the South Dakota Bureau of Information and Telecommunications and communicated to the Vendor by the State contact before work on the contract may begin. This Security Acknowledgment Form constitutes the agreement of the Vendor to be responsible and liable for ensuring that the Vendor, the Vendor’s employee(s), and subcontractor’s, agents, assigns and affiliated entities and all of their employee(s), participating in the work will abide by the terms of the Information Technology Security Policy (ITSP) attached to this Agreement. Failure to abide by the requirements of the ITSP or the Security Acknowledgement Form can be considered a breach of this Agreement at the discretion of the State. It is also a breach of this Agreement, at the discretion of the State, if the Vendor does not sign another Security Acknowledgement Form covering any employee(s) and any subcontractor’s, agent’s, assign’s, or affiliated entities’ employee(s), any of whom are participating in the work covered by this Agreement, and who begin working under this Agreement after the project has begun. Any disciplining of the Vendor’s, Vendor’s employee(s), or subcontractor’s, agent’s, assign’s, or affiliated entities’ employee(s) due to a failure to abide by the terms of the Security Acknowledgement Form will be done at the discretion of the Vendor or subcontractors, agents, assigns, or affiliated entities and in accordance with the Vendor’s or subcontractor’s, agent’s, assign’s, and affiliated entities’ personnel policies. Regardless of the actions taken by the Vendor and subcontractors, agents, assigns, and affiliated entities, the State will retain the right to require at the State’s discretion the removal of the employee(s) from the project covered by this Agreement.

  • Security Incident Notification The Transfer Agent shall promptly notify the Trust but in no event later than 72 hours following discovery of any Security Incident(s). Such notification shall include the extent and nature of such intrusion, disclosure, or unauthorized access, the identity of the compromised Customer Confidential Information (to the extent it can be ascertained), how the Transfer Agent was affected by the Security Incident, and its response to such Security Incident. The Transfer Agent shall use continuous and diligent efforts to remedy the cause and the effects of such Security Incident in an expeditious manner and deliver to the Trust a root cause analysis and future incident Mitigation plan with regard to any such incident. The Transfer Agent shall reasonably cooperate with the Trust’s investigation and response to each Security Incident. If the Trust determines in its sole discretion that it may need or be required to notify any individual(s) as a result of a Security Incident, the Trust shall have the right to control all such notifications and the Transfer Agent shall bear all direct costs associated with the notification, to the extent the notification and corresponding actions are required by U.S. law, and subject to the limitation of liability set forth in the Agreement. Without limiting the foregoing, unless otherwise required by U.S. law, no such notifications shall be made by the Transfer Agent without the Trust’s prior written consent and the Trust shall, together with the Transfer Agent, determine the content and delivery of all such notifications. For the avoidance of doubt, the Transfer Agent shall be solely responsible for all costs and expenses, subject to the limitations of liability under the Agreement that the Trust and/or the Transfer Agent may incur to the extent that they are attributable to or arise from the Transfer Agent’s breach of its confidentiality obligations under the Agreement.
