Security Cooperation. (1) In order to achieve and maintain comparable standards of security, the National Security Authorities shall, upon request, provide each other with information about their national security standards, procedures and practices for the protection of Classified Information. For this purpose, the National Security Authorities may visit each other.
Security Cooperation. The Leaders noted that the nature and rapid spread of international terrorism in the recent years poses one of the most serious global threats today. The Leaders resolved to deepen ongoing cooperation in countering various security threats. They also agreed to step up efforts against cross-border threats such as terrorism, organized crime and illegal drug- trafficking. The Leaders welcomed the signing of the Defence Cooperation Agreement during the visit, which would provide a framework for intensifying bilateral defence and security cooperation through exchanges of high and mid-level visits, training and dialogue between the Ministries of Defence of the two countries and other relevant organizations. It would also enable capacity building and technical cooperation, thus imparting a new momentum to the bilateral partnership in the defence sector. Economic Engagement The Leaders acknowledged that despite a steady increase in bilateral trade over the last few years, the trade volumes between the two countries could potentially be increased manifold to the mutual benefit of both countries. Towards this end, the two Leaders agreed to actively work towards rapid enhancement in the levels of bilateral trade, investment and economic cooperation. The Leaders resolved to increase cooperation in various sectors and identified energy, petrochemicals, transport, communications, information and technology, textile industry, chemical and pharmaceutical industry, construction and agro-processing as potential areas for cooperation between the two countries. The Leaders further agreed to create favourable conditions and promote participation of private companies of both countries, including through joint ventures in various infrastructural and investment projects in the two countries. The Leaders reaffirmed their readiness to hold, both in Turkmenistan and India, national exhibitions, business forums and other events involving the business communities of the two countries for facilitating business interactions and linkages between the two countries. Energy and Petrochemicals The Leaders noted that cooperation in energy sector, especially the Turkmenistan-Afghanistan- Pakistan-India (TAPI) pipeline project, forms a key pillar of economic engagement between the two countries. Security Cooperation. 1. To achieve and maintain comparable security standards, the national security au- thority or the competent security authorities of each Party shall provide the other on re- quest with information on its national laws, regulations, standards, procedures and prac- tices relating to protection of classified information. For that purpose the Parties agree to facilitate contacts between their respective national security authorities or competent se- curity authorities, which may organize visits to one another.

  • Security Compliance Apple will take appropriate steps to ensure compliance with security procedures by its employees, contractors and sub processors and Apple shall ensure that any persons authorized to process Personal Data comply with applicable laws regarding the confidentiality and security of Personal Data with regards to the Service.

  • Financing Cooperation (a) EchoStar shall, and shall cause its Subsidiaries to, use reasonable best efforts to provide such assistance as reasonably requested by DISH in connection with financing arrangements (including assumptions, guarantees, amendments, supplements, modifications, refinancings, replacements, repayments, terminations or prepayments of existing financing arrangements) as DISH may reasonably determine necessary or advisable in connection with the completion of the Merger or the other transactions contemplated by this Agreement. Such assistance shall include, but not be limited to, the following: (a) providing such information and making available such personnel as DISH may reasonably request, including the preparation and furnishing in a timely fashion of all financial statements and other data customary to be included in connection therewith (including all audited financial statements, all unaudited financial statements (which shall have been reviewed by the independent accounting firm for EchoStar as provided in the procedures specified by the Public Company Accounting Oversight Board in AU 722)) and all information regarding EchoStar and its Subsidiaries reasonably required for DISH to prepare pro forma financial statements, financial data, audit reports and other information regarding EchoStar and its Subsidiaries of the type required by and in compliance with Regulation S-X and Regulation S-K promulgated under the Securities Act and related forms; (b) participation in, and assistance with, any marketing activities related to such financing; (c) participation by senior management of EchoStar in, and their assistance with, the preparation of rating agency presentations and meetings with rating agencies; (d) taking such actions as are reasonably requested by DISH or its financing sources to facilitate the satisfaction of all conditions precedent to obtaining such financing; and (e) assisting in any exchange transactions or consents with respect to the EchoStar Indentures. Notwithstanding the foregoing, EchoStar and its Subsidiaries shall not be required pursuant to this Section 4.19 to (1) enter into any letter, certificate, document, agreement or instrument (other than customary authorization and representation letters and notices) that will be effective prior to the Closing (or that will otherwise be effective if the Closing does not occur), (2) take any action to the extent it would unreasonably disrupt the business or operations of EchoStar and the EchoStar Subsidiaries (taken as a whole) or require any of them to take any actions that would reasonably be expected to violate any applicable Legal Requirement, any Contract or their respective Organizational Documents, (3) provide any information to the extent such information would not be required to be provided pursuant to Section 4.8(a), (4) take any actions, or omit to take an action, that would reasonably be expected to result in any personal liability for the directors, officers, employees or stockholders of EchoStar or any of its Subsidiaries, (5) provide any information that cannot be provided without unreasonable burden or expense or (6) take any action, or omit to take an action, that would reasonably be expected to cause any representation, warranty or covenant in this Agreement to be breached by EchoStar or any of its Subsidiaries (unless waived by DISH) or cause any closing condition set forth in Article V to fail to be satisfied. EchoStar hereby consents to DISH’s use of and reliance on any audited or unaudited financial statements relating to EchoStar and the consolidated EchoStar Subsidiaries, including any filings that DISH desires to make with the SEC. In addition, EchoStar will use reasonable best efforts, at DISH’s sole cost and expense, to obtain the consents of any auditor to the inclusion of the financial statements referenced above in appropriate filings with the SEC.

  • Industrial cooperation The aim of cooperation shall be to:

  • Technical Cooperation 1. The Parties shall strengthen their cooperation in the field of standards, technical regulations, metrology, market surveillance, accreditation and conformity assessment systems with a view to increasing the mutual understanding of their respective systems and facilitating access to their respective markets. To that end, they may establish regulatory dialogues at both horizontal and sectoral levels.

  • Audit Cooperation In the event either Party is audited by a taxing authority, the other Party agrees to cooperate fully with the Party being audited in order to respond to any audit inquiries in a proper and timely manner so that the audit and/or any resulting controversy may be resolved expeditiously.

  • Customs Cooperation 1. The Parties shall develop customs cooperation to ensure that the provisions on trade are observed. For this purpose they shall establish a dialogue on customs matters.

  • General Cooperation (a) The Parties shall each cooperate fully (and each shall cause its respective Subsidiaries to cooperate fully) with all reasonable requests in writing (“Information Request”) from another Party hereto, or from an agent, representative or advisor to such Party, in connection with the preparation and filing of Tax Returns (including the preparation of Tax Packages), claims for Refunds, Tax Proceedings, and calculations of amounts required to be paid pursuant to this Agreement, in each case, related or attributable to or arising in connection with Taxes of any of the Parties or their respective Subsidiaries covered by this Agreement and the establishment of any reserve required in connection with any financial reporting (a “Tax Matter”). Such cooperation shall include the provision of any information reasonably necessary or helpful in connection with a Tax Matter (“Information”) and shall include, without limitation, at each Party’s own cost:

  • Security Controls Annually, upon Fund’s reasonable request, Transfer Agent shall provide Fund’s Chief Information Security Officer or his or her designee with a copy of its corporate information security controls that form the basis for Transfer Agent’s Security Policy and an opportunity to discuss Transfer Agent’s information security measures, and a high level summary of any vulnerability testing conducted by Transfer Agent on its information security controls, with a qualified member of Transfer Agent’s information technology management team. Transfer Agent shall review its Security Policy annually.

  • Agricultural cooperation The aims of the cooperation on agriculture will be: (a) to promote sustainable rural development through the exchange of experience, generation of partnership and execution of projects in areas of mutual interest such as: agricultural innovation and technology transfer for the development of small farming, the conservation and management of the water resource for agricultural use, the application of good agricultural and agro industrial practices, including gender approach in development policies and strategies, among others; (b) to promote the exchange of relevant information for agricultural exports between the 2 markets; and (c) to develop a training program addressed to leader producers, technicians and professionals for the application of new technologies in order to increase and improve agriculture and animal husbandry productivity and competitiveness, in particular of value added products.
