Security; Limited Disclosure Agreements; Early Termination Sample Clauses

This clause governs the protection of confidential information, the conditions under which such information may be disclosed, and the circumstances that allow for early termination of the agreement. It typically requires parties to implement security measures to safeguard sensitive data and restricts disclosure to only those situations explicitly permitted, such as with prior consent or legal obligation. Additionally, it outlines the process for ending the agreement before its scheduled completion, often in cases of breach or mutual agreement. The core function of this clause is to protect proprietary information, control its dissemination, and provide a clear mechanism for ending the contractual relationship if necessary.
