SEDEX INFORMATION EXCHANGE. LIMITED The terms and conditions in this document (“Terms of Service”) set out the basis upon which the Service will be made available to you in your capacity as a Member or Auditor ("you" or "your"). Please read these Terms of Service carefully to be sure that you understand them. To proceed with your application once you have read and agreed to be bound by the Agreement, tick the checkbox on the “Join Now” page. Once you have completed our online registration and payment procedure and we have processed your application to become a Member or Auditor of Sedex, we will notify you via email that your registration is complete and that you have been accepted as a Member or Auditor. Your account will then be activated. On acceptance of these Terms of Service you will have entered into a legally binding contract with us for the provision of the Service. We may change these Terms of Service from time to time without notice to you and will post any changes on the Information Exchange. By continuing to use the Service after we make any such changes to these Terms of Service, you are deemed to have accepted such changes.

Please read these Terms of Service carefully to be sure that you understand them. To proceed with your application once you have read and agreed to be bound by the Agreement, tick the checkbox on the “Join Now” page. Once you have completed our online registration and payment procedure and we have processed your application to become a Member or Affiliate Audit Company of Sedex, we will notify you via email that your registration is complete and that you have been accepted as a Member or Affiliate Audit Company. Your account will then be activated. On acceptance of these Terms of Service you will have entered into a legally binding contract with us for the provision of the Service. We may change these Terms of Service from time to time to include new products and services and generally to keep them up to date. We will post any changes on the Sedex website and Sedex Platform and will inform Members and Affiliate Audit Companies of such amendments. Any Member or Affiliate Audit Company who does not wish to accept such amendments can terminate this Agreement for convenience, at any time, in accordance with clause 14.3 below. By continuing to use the Service after we make any such changes to these Terms of Service, you are deemed to have accepted such changes (see also clause 20.3).

  • Information Exchange As soon as reasonably practicable after the Effective Date, the Parties shall exchange information regarding the design and compatibility of the Interconnection Customer’s Interconnection Facilities and Participating TO’s Interconnection Facilities and compatibility of the Interconnection Facilities with the Participating TO’s Transmission System, and shall work diligently and in good faith to make any necessary design changes.

  • Cost of Data and Information Exchange Each Party shall bear its own cost of providing information to the other Party.

  • ELECTRICITY INFORMATION EXCHANGE PROTOCOLS 31.1 Protocols for exchanging information: The Distributor and the Trader must, when exchanging information to which an EIEP listed in Schedule 3 relates, comply with that EIEP.

  • - CLEC INFORMATION CLEC agrees to work with Qwest in good faith to promptly complete or update, as applicable, Qwest’s “New Customer Questionnaire” to the extent that CLEC has not already done so, and CLEC shall hold Qwest harmless for any damages to or claims from CLEC caused by CLEC’s failure to promptly complete or update the questionnaire.

  • Access to Financial Information Buyer’s representatives shall have access to, and Seller and its Affiliates shall cooperate with Buyer and furnish upon request, all financial and other information relating to the Hotel’s operations to the extent necessary to enable Buyer’s representatives to prepare audited financial statements in conformity with Regulation S-X of the Securities and Exchange Commission (the “SEC”) and other applicable rules and regulations of the SEC and to enable them to prepare a registration statement, report or disclosure statement for filing with the SEC on behalf of Buyer or its Affiliates, whether before or after Closing and regardless of whether such information is included in the Records to be transferred to Buyer hereunder. Seller shall also provide to Buyer’s representative a signed representation letter in form and substance reasonably acceptable to Seller sufficient to enable an independent public accountant to render an opinion on the financial statements related to the Hotel. Buyer will reimburse Seller for costs reasonably incurred by Seller to comply with the requirements of the preceding sentence to the extent that Seller is required to incur costs not in the ordinary course of business for third parties to provide such representation letters. The provisions of this Section shall survive Closing or termination of this Contract.

  • Securities Law Information The Participant acknowledges that he or she is permitted to sell the Shares acquired under the Plan through the designated broker appointed by the Company, provided the sale of the Shares takes place outside of Canada through facilities of a stock exchange on which the Shares are listed (i.e., the NYSE).

  • Buyer Financial Information If requested by Seller, Buyer shall deliver to Seller (a) within one hundred twenty (120) days after the end of each fiscal year with respect to Buyer, a copy of Buyer’s annual report containing audited consolidated financial statements for such fiscal year, if available, and (b) within sixty (60) days after the end of each of Buyer’s first three fiscal quarters of each fiscal year, a copy of Buyer’s quarterly report containing unaudited consolidated financial statements for each accounting period, if available, prepared in accordance with Generally Accepted Accounting Principles. Buyer shall be deemed to have satisfied such delivery requirement if the applicable report is publicly available on Buyer’s website or on the SEC XXXXX information retrieval system; provided however, that should such statements not be available on a timely basis due to a delay in preparation or certification, such delay shall not be an Event of Default, so long as such statements are provided to Seller upon their completion and filing with the SEC.
