Seller’s Fundamental Representations and Warranties. The representations and warranties of Seller set forth in Section 5.1 (Organization and Good Standing), Section 5.2 (Authorization of Agreement), Section 5.7(a) (Title to Owned Purchased Assets), Section 5.7(b) (Interest in Purchased Assets Not Owned), Section 5.8(e) (Interest in Real Property), Section 5.9(b) (Interest in Purchased Intellectual Property) and 5.27 (Absence of Financial Advisors) shall survive the Closing until the sixth anniversary of the Closing Date;
Seller’s Fundamental Representations and Warranties shall survive the Closing and continue in full force and effect until the expiration of the applicable statute of limitations.
