Service on Board Committee(s). You will not receive additional compensation (other than the Director’s Fee) for your services on a Board Committee.
Service on Board Committee(s). Should you be named to a committee of the Board, the Compensation Committee of the Board will determine any additional Compensation, if any, for serving on such committee. However, the Company currently does not plan to provide any additional compensation to members of Committees of the Board other than chairmen of such committees.
Service on Board Committee(s). Immediately following the election or appointment of Xx. Xxxxxxxxx to the Board, the Board and all applicable committees of the Board shall take all necessary actions to appoint Xx. Xxxxxxxxx to the Nominating Committee of the Board. Xx. Xxxxxxxxx will serve on such committee for the duration of his term. In addition, the Board shall, in accordance with the discretion of its Chairman and with its customary governance processes, determine any additional appropriate Board committee assignments for Xx. Xxxxxxxxx taking into account the composition of the Board, the time commitments made by the other members of the Board, committee assignments and the needs and independence and eligibility requirements of the committees and, subject to the foregoing, appoint Xx. Xxxxxxxxx if he meets such requirements to such additional committees of the Board (as long as Xx. Xxxxxxxxx meets the applicable independence standards and criteria for each such committee). The Board shall take all actions necessary to ensure that Xx. Xxxxxxxxx serves on at least one committee through the duration of his term.
Service on Board Committee(s). Should you be named to serve on any board committee, the cash compensation indicated in 4.1 above shall be inclusive of service on any board committee(s).
Service on Board Committee(s). The Board shall, subject to compliance with all applicable stock exchange rules, consider appropriate appointments for the New Independent Director (or Replacement Director) to applicable Board committees as it would consider such appointments for other Board candidates, taking into account the composition of the Board, committee assignments and the needs and independence and eligibility requirements of the committees.
Service on Board Committee(s). Should you be named to a committee of the Board, you shall receive cash compensation in addition to the compensation described under Section 4.1 above in the amount of $500 per committee.
