Shareholders' Lists. As soon as available, but in any event within 30 days after the end of each of the first three fiscal quarters, a shareholders' list, showing, as of the end of each fiscal quarter, the authorized and outstanding shares by class (including the Common Stock equivalents of any convertible security), the holders of all outstanding shares (both before giving effect to dilution and on a fully-diluted basis) and all outstanding options, warrants and convertible securities, and detailing all options granted, exercised or lapsed and all shares issued or sold.

Shareholders' Lists. After fixing a record date for a meeting, the officer or agent having charge of the stock transfer books shall prepare a list of shareholders entitled to notice of the meeting, arranged in alphabetical order, showing the address of, and the number of shares held by, each such shareholder. The list must be arranged by voting group and within each voting group by class or series of shares. The list shall be available for inspection by any shareholder from the date notice of the meeting to which it pertains is first given and continuing through the meeting at the Corporation’s principal office or a place identified in the meeting notice in the city where the meeting is to be held. Any shareholder, or such shareholder’s agent or attorney, shall be entitled on written demand to inspect and, subject to the requirements of Section 30-00-000 of the South Carolina Business Corporation Act of 1988, or any successor thereto, as amended from time to time, to copy the list, during regular business hours and at such shareholder’s expense, during the period it is available for inspection. The list shall also be available at the meeting and any shareholder, or such shareholder’s agent or attorney, shall be entitled to inspect the list at any time during the meeting or any adjournment. The Corporation’s original stock transfer books shall be prima facie evidence as to who are the shareholders entitled to examine such list or to receive notice of or vote at any meeting of shareholders.
Shareholders' Lists. The Fund's shareholder list shall not be furnished to any person except upon unanimous vote of the Trustees or when required by applicable laws or regulations.
Shareholders' Lists. The officer having charge of the stock transfer books for shares of stock of the Corporation shall make a complete list of the shareholders entitled to vote at a meeting of shareholders or any adjournment thereof, arranged in alphabetical order and by voting group and within each voting group by class or series of shares, with the registered address of and the number of shares held by each, which list shall be kept on file at the principal office of the Corporation and shall be subject to inspection by any shareholder at any time during usual business hours beginning two business days after notice of such meeting is given for which such list was prepared. Such list shall also be produced and kept open at the time and place of the meeting and shall be subject to the inspection of any shareholder at any time during the meeting or any adjournment thereof. The original stock transfer books shall be prima facie evidence as to the identity of the shareholders entitled to examine such list or transfer books or to vote at any meeting of shareholders. Failure to comply with the requirements of this Section 7 shall not affect the validity of any action taken at any such meeting.
Shareholders' Lists. In connection with the Offer and Merger, the Company shall, and shall cause its transfer agent, as promptly as possible to furnish Purchaser with mailing labels containing the names and addresses of all record holders of the Public Shares and with security position listings of Shares held in stock depositories, in each case true and correct as of the most recent practicable date, and of those persons becoming record holders subsequent to such date. The Company shall furnish to Purchaser all such additional information (including, but not limited to, updated lists of holders of the Public Shares and their addresses, mailing labels and lists of security positions) and such other assistance as Purchaser or its agents may reasonably request in communicating the Offer to the record and beneficial holders of the Public Shares. Subject to the requirements of applicable law, and except for such steps as are necessary to disseminate the Offer Documents and any other documents necessary to consummate the Offer or the Merger, Purchaser and its Affiliates will hold in confidence the information contained in any such labels, listings, and files, will use such information only in connection with the Offer and the Merger and, if this Agreement is terminated, will deliver to the Company all copies of such information in its possession.
Shareholders' Lists. The Secretary or Assistant Secretary, who shall have charge of the share ledger, shall prepare and make, at least ten days before every meeting of shareholders, a complete list of the shareholders entitled to vote at the meeting, in accordance with Article 5.6, arranged in alphabetical order, and showing the address of each shareholder and the number of shares registered in the name of each shareholder. Such list shall be open to the examination of any shareholder, for any purpose germane to the meeting, during ordinary business hours, for a period of at least ten days prior to the meeting, either at a place within the city where the meeting is to be held, which place shall be specified in the notice of the meeting, or, if not so specified, at the place where the meeting is to be held. The list shall also be produced and kept at the time and place of the meeting during the whole time thereof, and may be inspected by any shareholder who is present.
