Shipment Inspection. 6.7.1. All System Units and Caregiver Terminals shall be conveyed to AMERICARE by CYBERCARE, F.O.B. the place of shipment in the United States designated by CYBERCARE from time to time, and title to and risk of loss of any System Units and Caregiver Terminals shipped to AMERICARE shall pass from CYBERCARE when such product comes into possession of AMERICARE's shipper. 6.7.2. Within thirty (30) days following installation of any System Units or Caregiver Terminals by AMERICARE, AMERICARE shall notify CYBERCARE in writing of any shortage, functional defects or damage which AMERICARE claims existed at the time of receipt. Within fifteen (15) days of receipt of such notice, CYBERCARE will investigate the claim of shortage, defects or damage, and inform AMERICARE of its findings. If CYBERCARE determines that a shortage, defect or damage exists in such shipment, CYBERCARE shall promptly, at CYBERCARE's expense, either (a) deliver to AMERICARE a supplementary shipment, in the event of a shortage or (b) deliver a replacement or repair the defect or damage, in the event of a defective or damaged portion of the shipment. Unless notice is given as provided in this SECTION 6.7.2., AMERICARE shall be deemed to have accepted any delivered System Units and Caregiver Terminals and to have waived any and all claims for shortages, defects or damage thereto.
Shipment Inspection. Fairchild shall promptly provide for inspection and testing of each shipment of Products upon delivery in accordance with the applicable specifications and shall notify Samsung in writing of the results thereof. If any lot or Product is found to fail to meet such specifications prior to final acceptance, Fairchild shall promptly replace such lot or Product on a timely basis.
Shipment Inspection. Cardinal Health shall visually inspect each shipment of Product for external damage or loss in transit and notify Client of any such damage or loss within a commercially reasonable period of time following discovery.
Shipment Inspection. Import Goods that are ‘distributed by 1616 Holdings’, ‘manufactured for 1616 Holdings’, or ‘exclusively for 1616 Holdings’ are subject to Five Below designated third party shipment inspection at factory site. Five Below’s inspection standard is ANSI/ASQZ 1.4 Single Sample plan, which is adopted by most of the retailers in the United States. Five Below is under no obligation to unpack or inspect Goods before resale thereof. Five Below inspection, testing, payment for or retention of Goods does not (i) constitute an acceptance of Goods not in compliance with the Contract, (ii) affect Five Below’s right to reject or return Goods, or (iii) constitute a waiver by Five Below of any Vendor warranties or any rights or remedies of Five Below under the Contract. In no event will Vendor sell or distribute to third parties any Goods that contain logos, trade names, trademarks or labels of Five Below even if rejected by Five Below as nonconforming. Five (5) days prior to the completion of 80% of mass production of Goods, vendor must contact one of Five Below’s designated audit partners to schedule the shipment inspection. Vendor must provide shipment inspection documentation via Riskonnect. Five Below’s QA-Compliance team will review each shipment inspection. Allow three (3) business days for shipment inspection reports to be reviewed. Approval or rejection of shipment inspections will be provided via Riskonnect. Vendor will receive an email notification once the submitted document has been approved or rejected. If a SKU receives three sequential passing shipment inspections, Five Below, at its own discretion, may authorize suspension of shipment inspections for that SKU for the remainder of the calendar year. Import Goods not distributed by OR exclusively for Five Below but where Five Below is the Importer of Record are subject to random shipment inspections at Five Below’s discretion.
Shipment Inspection. Inspections of each shipment shall be made in the loading port specified in Clause 7 of this Contract by an independent inspector, designated by BUYER and accepted by SELLER. The cost of such independent inspector shall be borne equally between BUYER and SELLER. The Bill of Lading Date shall be the date when the last cargo hose is disconnected, after loading of the cargo (In accordance Clause 1 of General Conditions of Sale).
