Signature and Registration. (a) The Subscription Certificates shall be executed on behalf of the Company by two of its executive officers. Any Subscription Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Subscription Certificate, shall be a proper officer of the Company to sign such Subscription Certificate, even if at the date of the execution of this Agreement or the date of the actual issuance of such certificate any such person is not such an officer.
(b) The Agent will keep or cause to be kept, at its principal offices in New York, books for registration and transfer of the Rights issued hereunder. Such books shall show the names and addresses of the respective holders of the Rights and the number of Rights evidenced by each outstanding Subscription Certificate.
Signature and Registration. (a) The Rights Certificates shall be executed on behalf of ATLANTIC by its Co-Chairman and by its Secretary by facsimile signature. Any Rights Certificate may be signed on behalf of ATLANTIC by any person who, at the actual date of the execution of such Rights Certificate, shall be a proper officer of ATLANTIC to sign such Rights Certificate, even if at the date of the execution of this Agreement or the date of the actual issuance of such Rights Certificate, any such person is not such an officer.
(b) The transfer agent and registrar will keep or cause to be kept, at its office designated for such purpose, books for registration and transfer of the Rights issued hereunder. Such books shall show the names and addresses of the respective holders of the Rights and the number of Rights evidenced by each outstanding Rights Certificate.
Signature and Registration. The Warrant Certificates shall be executed on behalf of the Company by the Chief Executive Officer or any Vice President, by facsimile signature and have affixed thereto a facsimile of the Company's seal which shall be attested by the Secretary or an Assistant Secretary of the Company by facsimile signature. The Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer of the Company before countersignature by the Warrant Agent and issuance and delivery by the Company, such Warrant Certificates, nevertheless, may be countersigned by the Warrant Agent and issued and delivered with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such officer of the Company and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign each Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such an officer. The Warrant Agent will keep or cause to be kept, at its principal place of business, books for registration and transfer of the Warrant Certificates issued hereunder. Such books shall show the names and addresses of the respective holders of the Warrant Certificates, the number of Warrants evidenced on its face by each of the Warrant Certificates and the date of each of the Warrant Certificates.
Signature and Registration. (i) The Warrant Certificates shall be manually executed on behalf of the Company by its Chairman of the Board, its President or any Vice President and shall be manually attested by the Secretary or an Assistant Secretary of the Company.
(ii) The Company will keep or cause to be kept at its principal office books for the registration and transfer of the Warrant Certificates issued hereunder.
Signature and Registration. (a) The Rights Exercise Agreement shall be executed on behalf of the Company by its Chairman and Chief Executive Officer or any other duly authorized officer by facsimile signature.
(b) The Subscription Agent will keep or cause to be kept, at its principal offices in the State of New York, books for registration of the Rights issued hereunder. Such books shall show the names and addresses of the respective holders of the Rights and the number of Rights granted to such holder.
Signature and Registration. Each Warrant Certificate shall be executed on behalf of eSpeed by its Chief Executive Officer, Vice Chairman or President, either manually or by facsimile signature, and have affixed thereto eSpeed's seal or a facsimile thereof which shall be attested by the Secretary or an Assistant Secretary of eSpeed, either manually or by facsimile signature.

Any Subscription Rights Certificate may be signed on behalf of the Company by any person who, at the actual date of execution of such facsimile signature, is a proper officer of the Company to sign such Subscription Rights Certificate, even if at the date of the execution of this Agreement or the date of actual issuance of such certificate such person is not such an officer.
