AZUL Holding and Neeleman shall endeavor their best efforts to cause the Class B Shareholders to approve the issuance of the Subscription Warrants for the Adjustment of Shareholding - Trip’s Shareholders, waiving their preemptive rights.
The Company understands that the redemption rights provided for by this Section 4 apply only to outstanding Subscription Warrants.
In the event the Company shall elect to redeem all of the Subscription Warrants, the Company shall fix a date for the redemption (the “Redemption Date”).
