SNDA Agreement. Landlord shall cause to be delivered to Tenant, within 10 days after the Effective Date, an executed and acknowledged Non-Disturbance and Attornment Agreement in substantially the form of, but no less favorable to Tenant than, Exhibit 7/32 hereto, from all mortgagees, grantees under deeds to secure debt or beneficiaries and trustees under deeds of trust of Landlord’s interest in the Premises.

SNDA Agreement. Contemporaneously with the execution of this Amendment, Ground Lessor, Landlord and Tenant shall enter into an SNDA Agreement with respect to the Parcel 200 Ground Lease, in the form of Exhibit J hereto, which shall replace the SNDA Agreement previously entered into by Ground Lessor, Original Landlord and Tenant with respect to the Original Ground Lease pursuant to Section 9.1(b) of the Lease.
SNDA Agreement. Notwithstanding anything to the contrary in this Lease, Tenant shall be obligated to provide a subordination of its rights under this Lease to any lender to the Landlord if Tenant shall have received a Subordination, Nondisturbance and Attornment Agreement, in the form reasonably requested by such lender or, from any mortgagee existing prior to the Date of Term Commencement.
SNDA Agreement. Contemporaneous with the execution of this Addendum, Landlord will deliver to Tenant a Subordination, Non-Disturbance, and Attornment Agreement (“SNDA Agreement”), in a form acceptable to Tenant for execution, from the holders of existing mortgages, ground leases, or deeds of trust.

Notwithstanding any other provision of this Lease, the subordination of this Lease to any Mortgage under Section 12.(a) and the Attornment of Tenant to any future Landlord Mortgagee under Section 12.(b) shall be conditioned upon such future Landlord's Mortgagee's execution and delivery of a Non-Disturbance Agreement.

Furthermore, such agreed procedures shall be consistent with relevant International Council for Harmonization (ICH) guidelines, except where said guidelines may conflict with existing local regulatory safety reporting requirements, in which case local reporting requirements shall prevail. Until such guidelines and procedures are set forth in a written agreement between the Parties (hereafter referred to as the “Pharmacovigilance Agreement”), the Party responsible for pharmacovigilance prior to execution of this Agreement shall have sole Pharmacovigilance responsibility for the Licensed Compound(s) subject to all applicable regulations and guidelines. In the event that this Agreement is terminated, the Parties agree to implement the necessary procedures and practices to ensure that any outstanding pharmacovigilance reporting obligations are fulfilled. Certain information marked as [***] has been excluded from this exhibit because it is both (i) not material and (ii) would be competitively harmful if publicly disclosed.
