SOLICITATION COMPENSATION. (a) The Selling Agent shall receive from the Company ten percent (10%) of the gross proceeds received from the acceptance of subscriptions solicited by Selling Agent as a compensation for acting as selling agent. Such compensation is to be due and payable by the Company to the Selling agent in immediately available funds in connection with the acceptance of the subscription.

SOLICITATION COMPENSATION. (a) The Selling Agent shall receive from the Company seven percent (75) of the gross proceeds received from the acceptance of subscriptions solicited by Selling Agent as a compensation for acting as selling agent. Such compensation is to be due and payable by the Cy to the Selling Agent in immediately available funds within ten days following the acceptance of the subscription.
SOLICITATION COMPENSATION. (a) The Solicitation Agent shall receive a cash fee (the “Solicitation Commissions”) equal to seven percent (7%) of the gross proceeds received from the exercise of Warrants pursuant to the Offering. In addition, the Solicitation Agent shall be paid a non-accountable expense allowance (the “Expense Allowance”) equal to three percent (3%) of the gross proceeds received from the exercise of Warrants pursuant to the Offering; provided, however, that the Expense Allowance shall be reduced to two percent (2%) of such gross proceeds if the number of Shares issued in the Offering is less than 500,000. Such compensation is to be due and payable to the Solicitation Agent in immediately available funds at the Closing.
SOLICITATION COMPENSATION. (a) The Placement Agent shall receive a cash fee (the “Selling Commissions”) equal to ten percent (10%) of the gross proceeds received from the acceptance of subscriptions solicited by Placement Agent as a compensation for acting as Placement Agent. Such compensation is to be due and payable to the Placement Agent in immediately available funds at the Closing. Any cash fee due and payable to any subagent shall be paid directly by the Placement Agent to such subagent from the Selling Commission.
SOLICITATION COMPENSATION. Pursuant to this Warrant Solicitation Agreement, the Company will pay Dxxxxx a fee consisting of a cash payment equal to 3.5% of the total gross proceeds received by the Company upon the exercise of the Warrants during the Engagement Period, subject the compliance by Dxxxxx of the requirements set forth in FINRA Rule 5110(f)(J) (the “Solicitation Fee”). Dxxxxx reserves the right to reduce such compensation or adjust the terms thereof as specified herein in the event that a determination and/or suggestion will be made by Financial Industry Regulatory Authority (“FINRA”) to the effect that the aggregate compensation is in excess of FINRA rules or that the terms thereof require adjustment; provided, however, the aggregate compensation otherwise to be paid to Dxxxxx by the Company may not be increased above the amounts stated herein without the written approval of the Company.

  • Severance Compensation In the event (i) Employee terminates this Agreement for Good Reason in accordance with Paragraph 11.3 hereof; (ii) Employee is terminated for any reason (except death or disability) upon, or within six months following, a "Change in Management or Control (as such term is defined in Paragraph 11.5 hereof);" or (iii) Employee is terminated without Cause, the Company shall be obligated to pay severance compensation to Employee in an amount equal to his salary compensation (at the rate payable at the time of such termination) for a period of six (6) months from the date of termination. Notwithstanding the foregoing, if Employee is employed by a new employer, or as a consultant after the termination of this Agreement, the severance compensation payable to Employee hereunder shall be reduced by the amount of compensation that Employee actually receives from the new employer, or as a consultant. However, Employee shall have a duty to inform the Company that he has obtained such new employment, and the failure to do so is a material breach of this Agreement. In such event, the Company shall be entitled to (i) cease all payments to Employee under this Paragraph 11.4; and (ii) recover any unauthorized payments to Employee in an action for breach of contract. Notwithstanding anything else in this Agreement to the contrary, solely in the event of a termination upon or following a Change in Management or Control, the amount of severance compensation paid to Employee hereunder shall not include any amount that the Company is prohibited from deducting for federal income tax purposes by virtue of Section 280G of the Internal Revenue Code of 1986, as amended, or any successor provision. In addition to the foregoing severance compensation, the Company shall pay Employee (i) all compensation for services rendered hereunder and not previously paid; (ii) accrued vacation pay; and (iii) any appropriate business expenses incurred by Employee in connection with his duties hereunder and approved pursuant to Section 4 hereof, all through the date of termination. Employee shall not be entitled to any bonus compensation, whether vested or unvested; or any other compensation, benefits or reimbursement of any kind.

  • Bonus Compensation The Executive shall not receive any bonus payment whatsoever pursuant to Section 3.02 or the Bonus Plan except such bonus which is already earned and due to be paid up to and including the Termination Date, notwithstanding any period following the Termination Date during which the Executive may receive any payments or benefits under the terms of the Agreement.

  • Employment Compensation Schedule 3.16 contains a true and correct list of all employees to whom Company is paying compensation, including bonuses and incentives, at an annual rate in excess of Fifteen Thousand Dollars ($15,000) for services rendered or otherwise; and in the case of salaried employees such list identifies the current annual rate of compensation for each employee and in the case of hourly or commission employees identifies certain reasonable ranges of rates and the number of employees falling within each such range.

  • Salary Benefits and Bonus Compensation 3.1 BASE SALARY. The Employee's Base Salary shall be reviewed annually by the Board of Directors and the Compensation Committee of Avocent Corporation.
