Sophistication and Evaluation. Buyer has knowledge and experience in real estate matters necessary to make Buyer capable of evaluating the merits and risks of this Transaction, entering into this Agreement, and purchasing and owning the Property. Buyer has had the opportunity to ask questions and receive answers concerning the Property, this Agreement, this Transaction, and any and all other information deemed necessary or appropriate by Buyer concerning Buyer’s purchase of the Property and this Transaction. Sophistication and Evaluation. Seller has knowledge and experience in financial and real estate matters necessary to make Seller capable of evaluating the merits and risks of entering into this Agreement and consummating the Transaction. Seller has entered into this Agreement on the basis of its own examination, personal knowledge, and opinion as to the suitability of this Agreement and Transaction. In connection with Seller’s decision to enter into this Agreement, Seller has not relied on any representations or warranties made by Buyer other than those provided in this Agreement, if any. Seller has had the opportunity to ask questions and receive answers concerning this Transaction, and has obtained all information Seller deems necessary or appropriate to evaluate this Transaction.

  • Experience A minimum of 1 year of IT work experience in computer systems or support with demonstrated working knowledge of basic hardware and software products and problem solving/troubleshooting skills.

  • Education and Experience ▪ Secondary School Honour Graduation, plus a minimum of 13 years' pertinent experience or the equivalent in experience, additional education and/or training; OR ▪ Graduation from a recognized institute of advanced technology, or equivalent formal education, and a minimum of nine years' pertinent technological experience.

  • Evaluation and Comparison of Tenders 2.24.1 The Procuring entity will evaluate and compare the tenders which have been determined to be substantially responsive, pursuant to paragraph 2.22

  • Expertise Such Member alone, or together with its representatives, possesses such expertise, knowledge and sophistication in financial and business matters generally, and in the type of transactions in which the Company proposes to engage in particular, that such Member is capable of evaluating the merits and economic risks of acquiring and holding the Units, and that such Member is able to bear all such economic risks now and in the future;

  • EVALUATION AND MONITORING The ORGANIZATION agrees to maintain books, records and other documents and evidence, and to use accounting procedures and practices that sufficiently and properly support the complete performance of and the full compliance with this Agreement. The ORGANIZATION will retain these supporting books, records, documents and other materials for at least three (3) calendar years following the year in which the Agreement expires. The COUNTY and/or the State Auditor and any of their representatives shall have full and complete access to these books, records and other documents and evidence retained by the ORGANIZATION respecting all matters covered in and under this Agreement, and shall have the right to examine such during normal business hours as often as the COUNTY and/or the State Auditor may deem necessary. Such representatives shall be permitted to audit, examine and make excerpts or transcripts from such records, and to make audits of all contracts, invoices, materials, and records of matters covered by this Agreement. These access and examination rights shall last for three calendar years following the year in which the Agreement expires. The COUNTY intends without guarantee for its agents to use reasonable security procedures and protections to assure that related records and documents provided by the ORGANIZATION are not erroneously disclosed to third parties. The COUNTY will, however, disclose or make this material available to those authorized by/in the above paragraph or permitted under the provisions of Chapter 42.56 RCW without notice to the ORGANIZATION. The ORGANIZATION shall cooperate with and freely participate in any other monitoring or evaluation activities pertinent to this Agreement that the COUNTY finds needing to be conducted.

  • EVALUATION AND COMPARISON OF BIDS 30.1 The Employer will carry out evaluation of details and information provided in post- Qualification Questionnaire and any bidder who does not qualify shall not have his/her bid evaluated further.

  • Supervision and Evaluation The Dutch educational institution and the internship employer will both appoint internship supervisors who will be responsible for supervising the intern. If problems arise, the two internship supervisors will contact each other. There will be an interim evaluation and a final evaluation. The parties will agree on what shape these evaluations will take. At the end of the internship, the Dutch educational institution will require a report from the intern. The requirements of the report will be known by the student before the internship begins. The internship employer will be presented with a copy of this report. The internship employer will present the intern with an evaluation of his/her internship.

  • Questions and Answers Questions must be submitted via email to xxxxxx.xxxxxx0@xx.xxxxxxx.xx.xx by Wednesday, March 03, 2021 at 5:00 P.M. Responses to submitted questions will be emailed to all participants who obtained their procurement packet directly from Xxxxxxx County Purchasing Department by Friday, March 05, 2021. Telephone inquiries will not be accepted.

  • Evaluation 1. The purposes of evaluation provisions include providing employees with feedback, and employers and employees with the opportunity and responsibility to address concerns. Where a grievance proceeds to arbitration, the arbitrator must consider these purposes, and may relieve on just and reasonable terms against breaches of time limits or other procedural requirements.
