S&P Rating Condition. To the extent required by Section 2.4, evidence that the S&P Rating Condition has been satisfied with respect to such issuance of Additional Securities.
S&P Rating Condition. If the Class A Notes are rated by S&P at the time of the additional issuance, an Officer’s Certificate of the Issuer confirming that the S&P Rating Condition has been satisfied with respect to the additional issuance.
