Special Conditions to Closing. Notwithstanding any other provision to the contrary contained in this Agreement, Purchaser's obligations hereunder are expressly conditioned upon the following special conditions:

Special Conditions to Closing. Seller and Purchaser each hereby agree that the following items shall be considered conditions to Seller’s and Purchaser’s respective obligations to close:
Special Conditions to Closing. Each Purchaser’s obligation to close hereunder shall be conditioned upon the satisfaction by the Company of the following conditions precedent to the reasonable satisfaction of the Lead Investor:
Special Conditions to Closing. Seller and Purchaser each hereby agree that as a condition precedent to Purchaser’s obligation to close under this Agreement, Purchaser will, execute and deliver a management and development services agreement for the Property acceptable to Purchaser in its sole discretion (the “New Services Agreement”) pursuant to which an affiliate of Purchaser shall, from and after the Closing Date, be appointed as the exclusive manager and developer for the Property. The New Services Agreement shall have a term which shall commence on the Closing Date. All other terms and conditions of the New Services Agreement shall be as set forth therein.
Special Conditions to Closing. Purchaser shall have until August 14, 2006 (the "Inspection Period") to make investigations, examinations, inspections, market studies, feasibility studies, and tests relating to the Property and the operation thereof in order to determine, in Purchaser's sole opinion and discretion, the suitability of the Property for acquisition by Purchaser. No invasive testing will be done without Seller’s prior written consent. Purchaser shall have the right to terminate this Agreement at any time prior to the expiration of the Inspection Period by giving written notice to Seller of such election to terminate. In the event Purchaser so elects to terminate this Agreement pursuant to this section, Escrow Agent shall pay to Seller the sum of Twenty-Five Dollars ($25.00) of the Xxxxxxx Money, the balance of the Xxxxxxx Money shall be refunded by Seller to Purchaser, whereupon, except as expressly provided to the contrary in this Agreement, no party hereto shall have any other or further rights or obligations under this Agreement. Seller acknowledges that the sum of $25.00 is good and adequate consideration for the termination rights granted to Purchaser hereunder. In the event Purchaser does not elect to terminate this Agreement pursuant to this section, then all Xxxxxxx Money becomes non-refundable.
