SPONSOR INTELLECTUAL PROPERTY. Title to any invention conceived or first reduced to practice in performance of the Research solely by Sponsor personnel without significant use of MIT administered facilities or resources (each a “Sponsor Invention”) shall remain with Sponsor. Title to and the copyright in any copyrightable material first produced or composed in the performance of the Research solely by Sponsor personnel without significant use of MIT administered facilities or resources (“Sponsor Copyright”) shall remain with Sponsor. Neither Sponsor Inventions nor Sponsor Copyrights shall be subject to the terms and conditions of this Agreement.

SPONSOR INTELLECTUAL PROPERTY. Except as expressly set forth in Section 7.3, nothing in this Agreement shall be interpreted as giving Institution or Investigator any rights or interests under any intellectual property rights now, or hereafter, owned by Sponsor or any of its affiliates, including without limitations the Study Device and the Protocol, including the Results of the Study and any related data, the CRF and any similar data and/or intellectual property rights. Furthermore, and notwithstanding anything in this Agreement to the contrary, Institution and Investigator shall have no right to maintain any interest or title to Developments that are made by Institution or Investigator to the extent that such Developments are the result of any use of the Study Device in a manner inconsistent with or not contemplated by the Protocol or this Agreement. 7.4 Duševní vlastnictví zadavatele. Vyjma toho, co je výslovně uvedeno v oddíle 7.3, nebude nic z toho, co je obsaženo v této smlouvě, interpretováno jako poskytnutí nemocnici nebo zkoušejícímu jakýchkoliv práv nebo podílů na jakýchkoli právech duševního vlastnictví, které nyní je nebo v budoucnosti bude majetkem zadavatele či kterékoliv z jeho sesterských společností, mimo jiné včetně hodnoceného zařízení a protokolu, včetně výsledků studie a veškerých souvisejících dat, formuláře CRF a veškerých podobných dat a/nebo práv duševního vlastnictví. Dále a bez ohledu na ustanovení této smlouvy s opačným významem nemocnice a zkoušející nebudou mít právo trvat na jakémkoli podílu ani nároku na inovace, které uskuteční nemocnice nebo zkoušející v rozsahu, v jakém je taková inovace výsledkem používání hodnoceného zařízení způsobem, který je v rozporu s touto smlouvou či protokolem, nebo v nich není zvažován.
SPONSOR INTELLECTUAL PROPERTY. Intellectual property independently conceived or reduced to practice or writing by Sponsor prior to entering into this Agreement with no facilities, contribution, involvement or support by University, as to its conception or reduction to practice, shall remain the sole and exclusive property of Sponsor, and the University shall have no title or claim to such intellectual property. Sponsor shall allow University access to Sponsor Intellectual Property only as far as is necessary to allow University to successfully conduct the Scope of Work of this Agreement.
SPONSOR INTELLECTUAL PROPERTY. Sponsor hereby grants to SHPE a limited, non-exclusive, non-sublicenseable license to use certain of Sponsor’s intellectual property, including names, trademarks, and copyrights (collectively, the “Sponsor Trademarks”) solely to identify Sponsor as a sponsor of SHPE, and to perform SHPE’s obligations as specified herein. Sponsor may immediately terminate, in whole or with respect to a specific use, SHPE’s right to use the Sponsor Trademarks if it is reasonable to believe that such use dilutes, diminishes, or blurs the value of the Sponsor Trademarks or if such use does not comply with Sponsor’s usage policies.
SPONSOR INTELLECTUAL PROPERTY. Sponsor Intellectual Property shall include inventions, improvements and/or discoveries that are conceived and/or made solely by employees of the Sponsor using Sponsor's facilities and resources and/or that emerge from any prior research, development and other program of the Sponsor. All rights and title to Sponsor Intellectual Property, including inventions, improvements and/or discoveries conceived and/or made under this agreement, shall belong to the Sponsor and shall be subject to the terms and conditions of this agreement. Sponsor will grant to H&A, at minimum, a nonexclusive, royalty-free license to use any such invention, improvement, and/or discovery for research and education purposes.

SPONSOR INTELLECTUAL PROPERTY. The term “Sponsor Intellectual Property “ shall mean any inventions, discoveries, know how, information, biological materials and data in the Field, whether patentable or not, developed whole or in part by Sponsor under principles arising under the patent laws or other intellectual property laws of the United States of America.
SPONSOR INTELLECTUAL PROPERTY. Sponsor, or, as applicable, its third party licensors, shall retain all right, title and interest in and to all Intellectual Property owned or known by Sponsor prior to the Effective Date or made or acquired by Sponsor during the term of this Agreement (collectively, “Sponsor Intellectual Property”). BBL acknowledges that Sponsor Intellectual Property constitutes valuable assets of Sponsor and, as applicable, shall be treated as Confidential Information of Sponsor pursuant to Article 12. At the request of Sponsor and at Sponsor’s expense, BBL shall execute any documents reasonably required to confirm ownership of such rights and to secure proper patent, copyright, trademark or other protection, as appropriate, related thereto. For the avoidance of doubt, if Sponsor supplies any Sponsor Intellectual Property to enable the Services, including without limitation methods, protocols, product, samples and reagents, neither BBL nor any permitted subcontractor hereunder shall acquire any rights in such intellectual property or materials except to the extent expressly provided herein and as otherwise reasonably necessary to perform the Services in accordance with the terms and conditions of this Agreement.
SPONSOR INTELLECTUAL PROPERTY. Title to any invention made solely by the Sponsor’s personnel without the use of UNL administered funds or facilities (“Sponsor Invention”) shall remain with the Sponsor. Title to and the right to determine the disposition of any copyrights or copyrightable material first produced or composed in the performance of the Research solely by employees of the Sponsor without the use of UNL administered funds or facilities (“Sponsor Copyright”) shall remain with the Sponsor. Neither Sponsor Inventions nor Sponsor Copyrights shall be subject to the terms and conditions of this Agreement.
