Status as Director. Nothing contained in this Agreement, and no action of the Company or the Board with respect hereto, will confer or be construed to confer on the Grantee any right to continue as a director of the Company or interfere in any way with the right of the Company or its shareholders to terminate the Grantee’s status as a director at any time, with or without cause.
Status as Director. For purposes of this Agreement, Director shall be considered to be in service as a director of the Company as long as Director remains a director of the Company or any successor entity. Any question as to whether and when there has been a termination of such service, and the cause of such termination, shall be determined by the Committee in its sole discretion, and its determination shall be final.
Status as Director. The Credit Suisse Nominee, upon appointment to the Board, will serve as a member of the Board and be governed by the same protections and obligations regarding confidentiality, conflicts of interests, fiduciary duties, trading and disclosure policies and other governance guidelines, and shall have the same rights and benefits, including (but not limited to) with respect to insurance, indemnification, compensation and fees, as are applicable to all independent directors of the Company; provided, however, that Credit Suisse acknowledges and agrees that certain flight benefits are provided to members of the Company’s Board by Continental Airlines, Inc. and are outside the control of the Company. If requested by the Credit Suisse Nominee, the Company agrees to request that Continental agree to grant such benefits for the Credit Suisse Nominee.
Status as Director. On the Retirement Date, the Executive’s status as a director of the Company shall remain unchanged. After the Retirement Date, for so long as the Executive serves as a non-employee director of the Company, the Executive shall be entitled to compensation for such service as a director consistent with other non-employee directors of the Company.
Status as Director. Nothing in this Agreement shall affect Mr. Van Loan’s continuing status as a director of the Company, except that Mr. Van Loan shall, immediately following the Retirement Date, be paid fees and other applicable compensation for his services as a nonemployee director, consistent with that provided to other non-employee directors.
Status as Director. Neither this Agreement nor the Plan shall be construed to constitute an agreement or understanding, expressed or implied, on the part of the Corporation or any subsidiary, that the Participant is entitled to continue to serve as a director.

Compatible functions of the Company Directors ------------------------------------------------------------------------------- The post as Director shall be compatible with any other function in the Board or in the Company. The post as Director may be remunerated and such remuneration shall be compatible with that contained in Article 27 of the present By-laws.
Status as Director. For purposes of this Agreement, Director shall be considered to be in the service of the Company as long as Director remains a member of the Board of Directors of either the Company or any entity controlling, controlled by or under common control with the Company (an “Affiliate”). Nothing in this Agreement shall confer on Director any right to continued service as a director or affect in any way the right of the Company or any applicable Affiliate to cause Director to cease to serve as a director of the Company or any Affiliate at any time.
