Status as Employee. At all times during the Employment Period, Executive shall be deemed to be an Executive of Employer for purposes of determining Executive’s coverage under and eligibility to participate in, any Executive benefit plans or programs which Employer now has or may hereafter initiate. In the event it is necessary to amend any such plan or program in order to assure that Executive is not discriminated against thereunder, Employer will promptly use its best efforts to make all such amendments or cause the same to be made.
Status as Employee. At all times during the Employment Period, Employee shall be deemed to be an Employee of Employer for purposes of determining Employee's coverage under and eligibility to participate in, any Employee benefit plans or programs which Employer now has or may hereafter initiate. Status as Employee. For purposes of this Agreement, Employee shall be considered to be in the employment of the Company as long as Employee remains an employee of the Company or its Affiliates or any successor corporation or other legal entity. Any question as to whether and when there has been a termination of such employment shall be determined by the Committee in its sole discretion, and its determination shall be final.

Status as Employee. During the Transition Period, Executive shall continue to be considered an employee of the Company for all purposes, including for purposes of state and federal income taxation. Subject to Section 5, the Company and Executive acknowledge that Executive’s employment under this Agreement may be terminated by either party at any time for any or no reason, with or without notice.
