Common use of SUB-CONTRACTING - ASSIGNMENT Clause in Contracts

SUB-CONTRACTING - ASSIGNMENT. Neither Party may assign this Agreement or its obligations hereunder, nor may contract with third parties to perform any of its obligations hereunder, without the other Party's prior written consent which shall not be unreasonably withheld or delayed. However, SPONSOR shall have the right, upon prior written notice to INSTITUTION, to assign this Agreement to any of its affiliates, to a contract research organization in connection with the transfer of SPONSOR’s obligations or in connection with a merger or other corporate reorganization, or otherwise in connection with a transfer of all of SPONSOR's assets that bear on the Study Drug.
