Sub-Manufacturers. Any party listed on Exhibit B attached hereto and any additional Third Party who Supplier may, from time to time, designate as a sub-manufacturer under this Agreement (each such party, a “Sub-Manufacturer”) shall be able to conduct activities to assist with the performance of Supplier’s duties hereunder; provided, however that before any party is designated as a Sub-Manufacturer under this Agreement (i) Purchaser must give its written consent to such designation, such consent not to be unreasonably withheld, (ii) the proposed Sub-Manufacturer must agree to perform in accordance with the Development and Scale-Up Plan (as defined in the LCA) and the Quality Agreement, (iii) the proposed Sub-Manufacturer must agree in writing to transfer to Supplier all know-how and other information necessary or useful in the manufacturing and production of Licensed Adjuvants supplied hereunder, including, without limitation, the preparation, testing and storage of such Licensed Adjuvants and the handling, storage and disposal of any residues or wastes generated thereby so that in the event that Purchaser elects to exercise its rights related to Technology Transfer under Section 6.3(c) below, Purchaser will be able to manufacture (or have manufactured) the Licensed Adjuvant in a manner substantially identical to the manner such manufacturing was conducted under this Agreement; (iv) the Sub-Manufacturer must agree in writing that, in the event that Purchaser terminates this Agreement under Section 6.2(a) or Section 6.2(d), any and all agreements between it and Supplier related to the manufacture of Licensed Adjuvant will be assigned to Purchaser with respect to the supply of Licensed Adjuvants provided under this Agreement provided, however that in the case of the agreement between Supplier and [* * *] which has been entered into prior to the Effective Date, Supplier shall have twelve (12) months from the Effective Date to receive [* * *] written agreement to such subassignment. Notwithstanding anything hereunder or anything in an agreement between a Sub-Manufacturer and Supplier, Supplier shall remain liable for any breach of this Agreement by any of its Sub-Manufacturers.

Sub-Manufacturers. 30.1 VENDOR may require the use of certain sub-manufacturers for whatever task is deemed necessary. VENDOR shall ensure that sub-manufacturers comply with the FSC standards and requirements contained in this AGREEMENT. 30.2 VENDOR shall provide FSC with [***] prior written notice of its intent to change its manufacturing location or transfer of manufacturing plant. Unless FSC approves of the change, VENDOR will [***]. VENDOR will use best efforts to ensure smooth transition. FSC may not unreasonably withhold, delay or condition its approval. 31.1 Subject to each EMS/ODM being credit worthy to order CPS and services from VENDOR under the provisions of this Agreement, as reasonably determined by VENDOR, VENDOR agrees to supply CPs and provide services to the EMS/ODM according to the terms and conditions of the AGREEMENT concluded between FSC and VENDOR for the sole purpose of the incorporation of the CPS supplied under this AGREEMENT into the products to be manufactured for FSC by the EMS/ODM and based on the condition, that any deliveries for such purpose shall be governed by a direct business relationship based on the respective POs between VENDOR and the EMS/ODM. 31.2 As part of the agreement between FSC and the EMS/ODM, FSC shall contractually bind the EMS/ODM to use the CPS and provided services supplied by VENDOR according to the terms of the AGREEMENT concluded between FSC and VENDOR exclusively for the manufacture of FSC’s products and for no other purpose. 31.3 FSC shall be entitled to revoke such supply rights granted by VENDOR to the EMS/ODM in its own discretion at any time, especially but not limited to in case the EMS/ODM uses the CP and provided services for other purposes as described in the preceding section. In case FSC revokes such supply rights, VENDOR shall terminate any deliveries or any support to the EMS/ODM, coming from the agreement, within [***] following the receipt of a revocation note provided by FSC.

  • API If the Software offers integration capabilities via an API, your use of the API may be subject to additional costs or Sage specific policies and terms and conditions (which shall prevail in relation to your use of the API). You may not access or use the API in any way that could cause damage to us or the Software, or in contravention of any applicable laws. We reserve the right in our sole discretion, to: (i) update any API from time to time; (ii) place limitations around your use of any API; and (iii) deny you access to any API in the event of misuse by you or to otherwise protect our legitimate interests.

  • Supply of Products ‌‌ 3.1 The Supplier warrants that the Products shall: (a) correspond with their description and any applicable Product Specification; (b) conform in all respects with the Order and any relevant sample; (c) be of satisfactory quality and fit for any purpose held out by the Supplier or made known to the Supplier by Ornua, expressly or by implication, and in this respect Ornua relies on the Supplier's skill and judgement; (d) be manufactured by properly trained and qualified personnel using all reasonable skill, care and diligence and in a good and workmanlike manner;‌ (e) where they are manufactured products, be free from defects in design, materials and workmanship and remain so for the period set out in the Product Specification or, if none is specified, for at least 12 months after delivery; (f) comply with all applicable statutory and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Products;‌ (g) comply with all relevant standards including any UK Standards, European Standards or International Standards applicable in the UK and the country or State where the Products are to be used; and (h) in the case of Products containing food stuffs, when delivered to Ornua, comply with all applicable food and hygiene legislation and regulations and best industry practice.‌ 3.2 The Supplier shall ensure that at all times it has and maintains all licences, permissions, authorisations, consents and permits needed to carry out its obligations under the Contract in respect of the supply of Products. Breach of this Condition shall be deemed a material breach of the Contract. 3.3 Ornua may inspect and test the Products at any time before delivery. The Supplier shall remain fully responsible for the Products despite any such inspection or testing and any such inspection or testing shall not reduce or otherwise affect the Supplier's obligations under the Contract. 3.4 If following such inspection or testing Ornua considers that the Products do not comply or are unlikely to comply with the Supplier's undertakings at clause 3.1, Ornua shall inform the Supplier and the Supplier shall immediately take such remedial action as is necessary to ensure compliance.‌ 3.5 Ornua may conduct further inspections and tests after the Supplier has carried out its remedial actions.

  • Products Products available under this Contract are limited to Software, including Software as a Service, products and related products as specified in Appendix C, Pricing Index. Vendor may incorporate changes to their product offering; however, any changes must be within the scope of products awarded based on the posting described in Section 1.B above. Vendor may not add a manufacturer’s product line which was not included in the Vendor’s response to the solicitation described in Section 1.B above.

  • Third Party Components The Products and Services may contain third party components (including open source software) subject to separate license agreements. To the limited extent a third party license expressly supersedes this XXXX, such third party license governs Customer’s use of that third party component.

  • Manufacture of Products All Products marketed through Grantor's Web ------------------------- Site shall be manufactured, packaged, prepared, and shipped in accordance with the specifications and requirements described on Exhibit A hereto as it may be modified from time to time. Quality control standards relating to the Product's weight, color, consistency, micro-biological content, labeling and packaging are also set forth on Exhibit A. In the event that Exhibit A is incomplete, Products shall be manufactured and shipped in accordance with industry standards.

  • Manufacturing (a) The Supplier shall without limitation be responsible, at no additional cost to the Purchaser, for: sourcing and procuring all raw materials for the Products; obtaining all necessary approvals, permits and licenses for the manufacturing of the Products; providing sufficient qualified staff and workers to perform the obligations under this Purchase Agreement; implementing and maintaining effective inventory and production control procedures with respect to the Products; and handling other matters as reasonably requested by the Purchaser from time to time. (b) The Supplier shall not change any process, material, component, packaging or manufacturing location without the Purchaser’s express prior written approval.
