Manufacturing Location. All manufacturing of the Goods shall occur in a facility approved by Buyer. Seller shall immediately notify Buyer prior to any changes in manufacturing location or other material changes in the Seller’s raw materials and/or process technology that may require requalification of Goods. Seller shall also provide sufficient samples to Buyer so that Buyer can test and approve Goods.
Manufacturing Location. Subject to the terms and conditions of change control in accordance with the Quality Agreement, Takeda shall duly Manufacture the Drug Substance supplied hereunder at the [***] by using the [***].
Manufacturing Location. If Greatbatch wishes to manufacture a Product at a location other than those listed in Schedule E, Greatbatch will provide notice to NeuroPace before the location change to allow for qualification of the Product. Greatbatch will provide NeuroPace with first article inspection, transfer plans, site specifications, on-site inspection and audit opportunities and any reasonable documentation, as requested by NeuroPace, to ensure Greatbatch’s ability to continue production of each Product to meet its Specifications. Notwithstanding the foregoing, Greatbatch recognizes that NeuroPace is entering into this Agreement in reliance upon Greatbatch’s quality and delivery levels remaining consistent, regardless of the location at which each Product is manufactured. Each party is responsible for its respective costs associated with any manufacturing location change.
Manufacturing Location. The Client Products shall be manufactured at the Facility. Xxxxxx shall not change such location without prior written consent from Client.
Manufacturing Location. All Product shall be manufactured at and supplied from the Manufacturing Facility, and Arch shall not, without Codexis’ prior written consent, manufacture Product at or supply Product from any facility other than the Manufacturing Facility.
Manufacturing Location. Fenwal will bear any and all costs of relocation and revalidating manufacturing equipment and facilities, including, but not limited to, costs associated with consolidation by Fenwal of its manufacturing activities at the [*] facility, unless such relocation and validation is expressly requested by Cerus. Any costs involved with any such change in manufacturing relocation will not be included in the Cost of Goods and will not increase the Cost of Goods to Cerus over the Cost of Goods that was in effect as to manufacture of any Manufactured Product at the previous location.
Manufacturing Location. Each Party shall manufacture the Products in the locations specified in Exhibit B. In addition to the foregoing, if either Party desires to make any change in location of manufacturing, that Party shall provide prior written notice to the other Party at least eighteen (18) months prior to the proposed date of implementation for such change, unless a shorter notice period is agreed between the Parties with respect to one or more manufacturing steps upon the request of either Party, the approval of which request shall not be unreasonably denied or delayed by the other Party. Such notice shall include the details regarding such proposed change, and such other information as may be reasonably requested by the other Party. Without limiting the foregoing, the Parties shall not implement any change in the location of manufacturing of any Product without prior written approval, unless otherwise agreed to by the Parties in writing. Notwithstanding anything in the foregoing, Transphorm is required to give only twelve (12) months’ notice of change of location of any manufacturing step for which a second source has been qualified by or for Nexperia. ARTICLE 10: CONFIDENTIALITY
Manufacturing Location. All Product shall be manufactured at the Claytox Xxxxlity, except that, at P&U's option, P&U shall have the right to manufacture and supply such Product from one or more production facilities owned by P&U or any of its Affiliates on the following conditions:
(a) Such other production facility or facilities shall have been approved by the FDA (and, if appropriate, the equivalent governmental authority in the applicable country) for manufacturing the Product;
(b) Miravant shall have access to such facility and related records to the same extent as it does to the Claytox Xxxxxity; and
(c) The Production Cost will not exceed the Production Cost which would have applied if such Products were manufactured at the Claytox Facility, and there will not be any additional costs for Development Work as a result of using such other facility.
Manufacturing Location. If Greatbatch wishes to manufacture a Product at a location other than those listed on Schedule B attached hereto, Greatbatch will provide at least seven (7) months’ prior written notice to Customer before the location change to allow for qualification of the relevant Product. Greatbatch will provide Customer with first article inspection, transfer plans, site specifications, on-site inspection and audit opportunities and any reasonable documentation, as requested by Customer, to ensure Greatbatch’s ability to continue production of each Product to meet its Specifications. Notwithstanding the foregoing, Greatbatch recognizes that Customer is entering into this Agreement in reliance upon Greatbatch’s quality and delivery levels remaining consistent, regardless of the location at which each Product is manufactured.
