Subject to Applicable Regulations. This Agreement and all Transactions are subject to Applicable Regulations so that: (a) if there is any conflict between this Agreement and any Applicable Regulations, the latter will prevail; (b) nothing in this Agreement shall exclude or restrict any obligation which we have to you under Applicable Regulations; (c) we may take or omit to take any action we consider necessary to ensure compliance with any Applicable Regulations; (d) all Applicable Regulations and whatever we do or fail to do in order to comply with them will be binding on you; and (e) such actions that we take or fail to take for the purpose of compliance with any Applicable Regulations shall not render us or any of our directors, officers, employees or agents liable.
Subject to Applicable Regulations. 4.6.1 This Client Agreement and all Transactions are subject to Applicable Regulations so that: If there is any conflict between this Client Agreement and any Applicable Regulations, the latter will prevail; and, We may take or omit to take any action we consider necessary to ensure compliance with any Applicable Regulations and whatever we do or fail to do in order to comply with them will be binding on you.
4.6.2 You acknowledge that you are solely responsible for, and that neither INFINOX nor any of its affiliates has any responsibility for, your compliance with any laws, Applicable Regulations or rules applicable to your use of the services provided by us under this Client Agreement including, but not limited to, any laws, Applicable Regulations or rules, in your or any other jurisdiction, relating to tax, foreign exchange and capital control, and for reporting or filing requirements that may apply as a result of your country of citizenship, domicile, residence or tax- paying status.
Subject to Applicable Regulations. This Agreement and all Transactions are subject to Applicable Regulations so that:
a) nothing in this Agreement shall exclude or restrict any obligation which we have to the Client under Applicable Regulations;
b) The Company may take or omit to take any action considered necessary to ensure compliance with any Applicable Regulations;
c) all Applicable Regulations and whatever the Company does or fails to do in order to comply with them will be binding on the Client; and
d) such actions that the Company may take or fail to take for the purpose of compliance with any Applicable Regulations shall not render the Company or any of its directors, officers, employees liable.
Subject to Applicable Regulations. This Agreement and all Transactions are subject to Applicable Regulations so that: (i) if there is any conflict between this Agreement and any Applicable Regulations, the latter will prevail; and (ii) we may take or omit to take any action we consider necessary to ensure compliance with any Applicable Regulations and whatever we do or fail to do in order to comply with them will be binding on you.
Subject to Applicable Regulations. Replace clause 3.2(c)(i) of the Agreement with “would cause us to breach any prohibition or restriction imposed or specified by ESMA pursuant to Article 40 of MiFIR, by the EBA pursuant to Article 41 of MiFIR or by an Applicable Regulator pursuant to Article 42 of MiFIR;
Subject to Applicable Regulations. This Agreement and all Transactions are subject to Applicable Regulations so that: (i) if there is any conflict between this Agreement (or the terms of any Services) and any Applicable Regulations, the latter will prevail; (ii) nothing in this Agreement (or the terms of any Services) shall exclude or restrict any obligation which we have to you under Applicable Regulations; (iii) we may take or omit to take any action we consider necessary to ensure compliance with any Applicable Regulations; (iv) all Applicable Regulations and whatever we do or fail to do in order to comply with them will be binding on you; and (v) such actions that we take or fail to take for the purpose of compliance with any Applicable Regulations shall not render us or any of our Affiliated Companies, directors, officers, employees or agents liable for any losses incurred or suffered by you for the non-performance, partial performance or delay in performance of any of our obligations under this Agreement or in respect of any Services resulting from actions taken by us for the purpose of compliance with any Applicable Regulation; (vi) you agree to comply with all Applicable Regulations.
Subject to Applicable Regulations. This Agreement and all transactions with you are subject to Applicable Regulations so that:
5.1.1 if there is any conflict between this Agreement and any Applicable Regulations, the Applicable Regulations will prevail;
5.1.2 we may take or fail to take any action we consider necessary to ensure compliance with any of the Applicable Regulations;
5.1.3 all Applicable Regulations and whatever we reasonably do or fail to do in order to comply with them will be binding on you; and
5.1.4 neither we nor any of our directors, officers, employees or agents shall be responsible if we reasonably take or fail to take any actions in order to comply with any Applicable Regulations.
Subject to Applicable Regulations. The Terms and all Transactions are subject to Applicable Regulations so that:
(i) if there is any conflict between the Terms and any Applicable Regulations, the latter will prevail; and (ii) we may take or omit to take any action we consider necessary to ensure compliance with any Applicable Regulations and whatever we do or fail to do in order to comply with them will be binding on you. Actions that we take or fail to take for the purpose of compliance with any Applicable Regulations shall not render us or any of our Staff or agents liable.
Subject to Applicable Regulations. This Agreement, the provision of Services by the Firm and/or any Associate and all Transactions are subject to Applicable Regulations, which means that:
(a) the Firm and any Associate may take or not take any action as they consider appropriate to ensure compliance with Applicable Regulations and any such action or inaction is binding on the Client; and
(b) any provision of this Agreement and/or obligation of the Firm to provide Services which is inconsistent with Applicable Regulations shall not apply to the extent of the inconsistency. The Firm and any Associate, and any of their directors, officers, employees or agents, will not be liable for any action that the Firm or any Associate takes or does not take for the purpose of compliance with Applicable Regulations.

This Agreement and all Transactions are subject to Applicable Regulations so that: o nothing in this Agreement shall exclude or restrict any obligation which we have to you under Applicable Regulations; o we may take or omit to take any action we consider necessary to ensure compliance with any Applicable Regulations; o all Applicable Regulations and whatever we do or fail to do in order to comply with them will be binding on you; and such actions that we take or fail to take for the purpose of compliance with any Applicable Regulations shall not render us or any of our directors, officers, employees or agents liable.
