Sublease Termination Damages. If Sublandlord terminates this Sublease, then Subtenant shall pay to Sublandlord all Rent due on or before the date of termination, plus Sublandlord's reasonable estimate of the aggregate Rent that would have been payable from the date of termination through the expiration of the Term stated in this Sublease, reduced by the rental value of the Premises calculated as of the date of termination for the same period, taking into account anticipated vacancy prior to reletting, reletting expenses and market concessions, both discounted to present value at the rate of seven and one-half percent (71/2%) per annum. If Sublandlord shall relet any part of the Premises for any part of such period before such present value amount shall have been paid by Subtenant or formally determined by a court, then the amount of Rent payable pursuant to such reletting (taking into account vacancy prior to reletting and any reletting expenses or concessions) shall be deemed to be the reasonable rental value for that portion of the Premises relet during the period of the reletting.
