Submission to Jurisdiction and Waiver of Immunity. (a) Each Party irrevocably and unconditionally (i) submits to the non-exclusive jurisdiction of any United States federal or New York state court sitting in Manhattan, and any appellate court from any such court, solely for the purpose of any suit, action or proceeding brought to enforce its obligations under this Agreement or relating in any way to this Agreement or the Transaction under this Agreement and (ii) waives, to the fullest extent it may effectively do so, any defense of an inconvenient forum to the maintenance of such action or proceeding in any such court and any right of jurisdiction on account of its place of residence or domicile.
(b) To the extent that either party has or hereafter may acquire any immunity (sovereign or otherwise) from any legal action, suit or proceeding, from jurisdiction of any court or from set off or any legal process (whether service or notice, attachment prior to judgment, attachment in aid of execution or judgment, execution of judgment or otherwise) with respect to itself or any of its property, such party hereby irrevocably waives and agrees not to plead or claim such immunity in respect of any action brought to enforce its obligations under the Agreement or relating in any way to this Agreement or the Transaction under this Agreement.

Each party irrevocably and unconditionally (i) submits to the exclusive jurisdiction of the courts of New York, and any appellate court from any such court, for the purpose of any suit, action, or proceeding brought to enforce its obligations under the Agreement or relating in any way to the Agreement or any Transaction under the Agreement and (ii) waives, to the fullest extent it may effectively do so, any defense of an inconvenient forum to the maintenance of such action or proceeding in any such court and any right of jurisdiction on account of its place of residence or domicile. Submission to Jurisdiction and Waiver of Immunity. (a) Each of the parties hereto hereby irrevocably agrees that any legal suit, action or proceeding arising out of or based upon this Agreement or the transactions contemplated hereby may be instituted in any state or federal court in the Borough of Manhattan, The City of New York, New York, and irrevocably waives, to the fullest extent permissible by law, any objection which it may now or hereafter have to the laying of venue of any such proceeding and irrevocably submits to the exclusive personal jurisdiction of such courts in any such suit, action or proceeding. Each of the parties hereto hereby irrevocably waives to the fullest extent permitted by applicable law any rights it may have to any other court in any such suit, action or proceeding. Each of the Company and the Selling Stockholder has validly and irrevocably appointed CT Corporation System as their respective authorized agent (“Authorized Agent”) upon which process may be served in any such action arising out of or based on this Agreement or the transactions contemplated hereby which may be instituted in any state or federal court in the Borough of Manhattan, The City of New York, New York, by any Underwriter or by any person who controls any Underwriter. Such appointments shall be irrevocable. Each of the Company and the Selling Stockholder represents and warrants that the Authorized Agent has agreed to act as said agent for service of process, and each of the Company and the Selling Stockholder agrees to take any and all action, including the granting of powers of attorney and the filing of any and all documents that may be necessary to continue such appointment in full force and effect as aforesaid. Service of process upon the Authorized Agent shall be deemed, to the fullest extent permitted by law, effective service of process upon the Company and the Selling Stockholder, as the case may be. Each of the Company and the Selling Stockholder hereby irrevocably waives, to the fullest extent permitted by law any immunity to which it or its assets may otherwise be entitled or become entitled (including sovereign immunity and immunity to pre-judgment attachment and execution) in any legal suit, action or proceeding against it arising out of or based on this Agreement or the transactions contemplated hereby which is instituted in any state or federal court in the Borough of Manhattan, The City of New York, New York, or in any competent court in its own corporate domicile.
Submission to Jurisdiction and Waiver of Immunity. (a) The Borrower irrevocably:
(i) submits to the non-exclusive jurisdiction of the federal and state courts of the State of New York located in New York City;
(ii) consents to service of process by mail or in any other manner permitted by the relevant law; and
(iii) waives any objections on the grounds of venue or forum non conveniens or any similar ground.
Submission to Jurisdiction and Waiver of Immunity. 21.1 Each party irrevocably and unconditionally (i) submits to the non-exclusive jurisdiction of any United States Federal or New York State court sitting in the Borough of Manhattan in the City of New York, and any appellate court from any such court, solely for the purpose of any suit, action or proceeding brought to enforce its obligations under the Agreement or relating in any way to the Agreement or any Transaction under the Agreement and (ii) waives, to the fullest extent it may effectively do so, any defense of an inconvenient forum to the maintenance of such action or proceeding in any such court and any right of jurisdiction on account of its place of residence or domicile.
21.2 To the extent that any party hereto has or hereafter may acquire any immunity (sovereign or otherwise) from any legal action, suit or proceeding, from jurisdiction of any court or from set off or any legal process (whether service or notice, attachment prior to judgment, attachment in aid of execution of judgment, execution of judgment or otherwise) with respect to itself or any of its property, such party hereby irrevocably waives and agrees not to plead or claim such immunity in respect of any action brought to enforce its obligations under the Agreement or relating in any way to the Agreement or any Transaction under the Agreement.

To the extent that either party has or hereafter may acquire any immunity (sovereign or otherwise) from any legal action, suit or proceeding, from jurisdiction of any court or from set off or any legal process (whether service or notice, attachment prior to judgment, attachment in aid of execution of judgment, execution of judgment or otherwise) with respect to itself or any of its property, such party hereby irrevocably waives and agrees not to plead or claim such immunity in respect of any action brought to enforce its obligations under the Agreement or relating in any way to the Agreement or any Transaction under the Agreement. Each party hereto hereby irrevocably waives all right to trial by jury in any action or proceeding arising out of or relating to this Agreement or any Transaction hereunder.

Nothing in this Agreement precludes either party from bringing proceedings in any other jurisdiction in order to enforce any judgment obtained in any proceedings referred to in the preceding sentence, nor will the bringing of such enforcement proceedings in any one or more jurisdictions preclude the bringing of enforcement proceedings in any other jurisdiction.
(b) Each party hereto irrevocably waives any right that it may have to trial by jury in any action, proceeding or counterclaim arising out of or relating to this Agreement or the Transactions contemplated hereby.
(c) To the extent that either party has or hereafter may acquire any immunity (sovereign or otherwise) from any legal action, suit or proceeding, from jurisdiction of any court or from set off or any legal process (whether service or notice, attachment prior to judgment, attachment in aid of execution of judgment, execution of judgment or otherwise) with respect to itself or any of its property, such party hereby irrevocably waives and agrees not to plead or claim such immunity in respect of any action brought to enforce its obligations under the Agreement or relating in any way to the Agreement or any Transaction under the Agreement.
Submission to Jurisdiction and Waiver of Immunity. (a) The Borrower irrevocably:
(i) submits to the non-exclusive jurisdiction of the courts of Singapore;
(ii) consents to service of process by mail or in any other manner permitted by the relevant law; and
(iii) waives any objections on the grounds of venue or forum non conveniens or any similar ground.
(b) The Borrower irrevocably:
(i) consents generally in accordance with the State Immunity Act (Chapter 313) to relief being given against it by way of injunction or order for specific performance or for the recovery of any property whatsoever and to its property being subject to any process for the enforcement of a judgment; and
(ii) waives and agrees not to claim any immunity from suits and proceedings and from all forms of execution or attachment to which it or its property is now or may hereafter become entitled under the laws of any jurisdiction and declares that such waiver shall be effective to the fullest extent permitted by such laws.
Submission to Jurisdiction and Waiver of Immunity. (a) The Borrower irrevocably :-
(i) submits to the non-exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region;
(ii) consents to service of process by mail or in any other manner permitted by the relevant law;
(iii) waives any objections on the ground of venue or forum non conveniens or any similar grounds.
(b) The Borrower irrevocably waives and agrees not to claim any immunity from suits and proceedings (including actions in rem) and from all forms of execution or attachment to which it or its property is now or may hereafter become entitled under the laws of any jurisdiction and declares that such waiver shall be effective to the fullest extent permitted by such laws.
(c) The Borrower shall at all times maintain an agent for service of process in Hong Kong. Such agent shall be Xx Xxx Xxxxx Xxx Sham of X-0 00/X Xxxxxxxxx House, 254 Gloucester Road, Hong Kong and any writ, judgment or other notice of legal process shall be sufficiently served on the Borrower if delivered to such agent at its address for the time being. The Borrower undertakes not to revoke the authority of the above agent and if, for any reason, any such agent no longer serves as agent of the Borrower to receive service of process, the Borrower shall promptly appoint another such agent, shall advise the Lender thereof and shall deliver promptly to the Lender the acceptance by such agent of its appointment.

(a) Each Party irrevocably and unconditionally (i) consents and submits to the non-exclusive jurisdiction of any United States Federal or New York State court sitting in the Borough of Manhattan, City and State of New York and any appellate court from any such court, solely for the purpose of any suit, action or proceeding brought to enforce its obligations under this Agreement or relating in any way to this Agreement or the transactions hereunder and (ii) waives, to the fullest extent it may effectively do so, any defense of an inconvenient forum to the maintenance of such action or proceeding in any such court and any objection that it may now or hereafter have to the laying of venue of any such action, suit or proceeding in any such court.
(b) To the extent that either Party has or hereafter may acquire any immunity (sovereign or otherwise) from any legal action, suit or proceeding, from jurisdiction of any court or from setoff or any legal process (whether service or notice, attachment prior to judgment, attachment in aid of execution of judgment, execution of judgment or otherwise) with respect to itself or any of its property, such Party hereby irrevocably waives and agrees not to plead or claim such immunity in respect of any action brought to enforce its obligations under this Agreement or relating in any way to this Agreement or the transaction under this Agreement.
