SUBSCRIPTION FOR AND ISSUE OF THE SUBSCRIPTION SHARES. 2.1 Subject to fulfilment (or, as the case may be, waiver) of the Conditions Precedent, the Issuer shall issue and allot the Subscription Shares to the Subscriber or its nominee (which shall be an Affiliate of the Subscriber), and the Subscriber shall subscribe for (or procure the subscription by its nominee of) the Subscription Shares (free and clear from all Encumbrances and together with all rights attaching to the Subscription Shares as at the Completion Date including all rights to any dividend or other distribution declared, made or paid on or after the Completion Date) for the Subscription Price, on the Completion Date.
