Common use of SUBSEQUENT ASSIGNMENTS Clause in Contracts

SUBSEQUENT ASSIGNMENTS. After the Effective Date, the Assignee shall have the right pursuant to Section 13.1 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunder to any entity or person, provided that (i) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, or any Law and that any consent required under the terms of the Credit Agreement or any of the Related Writings has been obtained, (ii) the assignee under such assignment from the Assignee shall agree to assume all (or the assigned portion, as the case may be) of the Assignee's obligations hereunder in a manner satisfactory to the Assignee, and (iii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Effective Date, the Assignee shall have the right pursuant to Section 13.1 12.03 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunder to any entity or person, provided that (i) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, Loan Documents or any Law law, rule, regulations order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (ii) the assignee under such assignment from the Assignee shall agree to assume all (or the assigned portion, as the case may be) of the Assignee's obligations hereunder in a manner satisfactory to the Assignee, Assignor and (iii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

After the Effective Date, the Assignee shall have the right pursuant to Section 13.1 12.3 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunder to any entity or person, provided that (i) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, Loan Documents or any Law law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (ii) the assignee under such assignment from the Assignee shall agree to assume all (or the assigned portion, as the case may be) of the Assignee's obligations hereunder in a manner satisfactory to the Assignee, Assignor and (iii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

After the Effective Date, the Assignee shall have the right pursuant to Section 13.1 14.1 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunder to any entity or person, provided that (i) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related WritingsLoan Documents, or any Law and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (ii) the assignee under such assignment from the Assignee shall agree to assume all (or the assigned portion, as the case may be) of the Assignee's ’s obligations hereunder in a manner satisfactory to the Assignee, and (iii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 13.1 8.17 of the Credit Loan Agreement to assign the rights which are assigned to the Assignee hereunder to any entity or person, provided that (ia) any such subsequent assignment does not violate any of the terms and conditions of the Credit Loan Agreement, any of the Related WritingsLoan Documents, or any Law law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Loan Agreement or any of the Related Writings Loan Documents has been obtained, (iib) the assignee under such assignment from the Assignee shall agree to assume all (or the assigned portion, as the case may be) of the Assignee's ’s obligations hereunder in a manner satisfactory to the Assignee, Assignor and (iiic) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.
