Supermajority Decisions. The Parties agree that no act shall be taken, sum expended, decision made or obligation incurred by the Parties, the Board of Directors or either Party with respect to a matter within the scope of any of the supermajority decisions enumerated below (the "Supermajority Decisions"), unless and until the same has been approved by the Board of Directors or expressly delegated by the Board of Directors in a writing signed by at least 75% of the members thereof The Supermajority Decisions are:
