Survival of Covenant. All representations, warranties and covenants of the Borrower under Sections 2, 3 and 5.1 shall survive the expiration or termination of this Loan Agreement to the extent arising prior to any such expiration or termination.
Survival of Covenant. Notwithstanding anything in this AGREEMENT to the contrary, the covenant set forth in Section 3.2 shall survive any assignment of this AGREEMENT and shall apply to any subsequent purchaser or assignee of any INTELLECTUAL PROPERTY RIGHTS of HONEYWELL but shall apply only with respect to the INTELLECTUAL PROPERTY RIGHTS of HONEYWELL acquired by such purchaser or assignee.
Survival of Covenant. The undertakings of the Section 12 of this Agreement shall survive the termination or cancellation of the Agreement or of the Executive's employment.
