Common use of Suspension of Activity Clause in Contracts

Suspension of Activity. 12.1 At any time during the Term, the Department may by written notice, require the Organisation to immediately suspend delivery of the Activity, or part of the Activity if: the Organisation has failed, or in the Department’s reasonable opinion, is likely to fail, to deliver the Activity in accordance with this Agreement; the Organisation has misused or is reasonably suspected to have misused Funding, or has shown an inability to properly manage its Assets; the Organisation has breached this Agreement and notice has been given to the Organisation by the Department under clause 14.1 [Termination of Agreement]; or the Organisation or its officer, board member, employee, member, volunteer, subcontractor, representative or agent has breached, or is reasonably suspected to have breached, any Law material to the Activity or the operation of the Organisation.
