Common use of SYNDICATE PARTICIPATION Clause in Contracts

SYNDICATE PARTICIPATION. The Lender may, at any time on notice to the Borrower, but without the prior written consent of the Borrower, whether before or after the Closing Date, at its own expense, assign up to 100% of the Loan, provided that the indebtedness may only be assigned in amounts not less than 5% of the indebtedness outstanding under the Loan and assign some or all of the Lender's Security to other lenders, who may or may not be offered part of the Warrants and commitment and other fees received by the Lender.
