Systems Furniture and Modular Walls/Partitions. The configuration of the Sublet Premises includes modular walls and partitions, approximately as shown on Exhibit B-1, attached hereto, (“Walls/Partitions”) and office systems furniture also shown on Exhibit B-1, attached hereto (“Systems Furniture”). Subtenant shall have the right to use the Walls/Partitions and Systems Furniture as part of the Sublet Premises at no additional charge, subject to the conditions hereof. Notwithstanding the foregoing, the Walls/Partitions and Systems Furniture shall remain the property of Sublessor at all times during the Sublease Term. Prior to beneficially occupying the Sublet Premises, Subtenant shall, at its sole cost and expense, modify the configuration of the Walls/Partitions to construct a reception area in the Sublet Premises, which modification may include removal of some Walls/Partitions and installation of additional Walls/Partitions. Such modifications shall be performed in accordance with the provisions of this Sublease, including, without limitation, Section 7 hereof. Subtenant shall be responsible to keep and maintain the Walls/Partitions and Systems Furniture in good order and condition, reasonable wear and tear excepted, and shall insure the Walls/Partitions and Systems Furniture under the special cause of loss business property insurance required by Section 17.A.(1) of the Prime Lease, naming Sublessor as loss payee under such policy for the Walls/Partitions and Systems Furniture. Subtenant shall have the right to perform minor modifications to the Systems Furniture in order to accommodate additional employees in the Sublet Premises, so long as (i) Subtenant has obtained the prior written consent of Sublessor with respect to the plans and specifications for such modifications (which consent may be granted or withheld in Sublessor’s sole discretion, acting in good faith), (ii) Subtenant employs vendors and contractors designated by Sublessor in connection with the performance of such Systems Furniture modification, and (iii) Subtenant performs such modifications in accordance with the provisions of this Sublease, including Section 7 hereof and removes any such modifications as set forth in Section 15 hereof.

Notwithstanding As of the foregoingdate hereof, the Walls/Partitions and Systems Furniture shall remain in excess of those set forth in Exhibit B-1 are being stored within the property of Sublessor at all times during Sub-Subleased Premises and certain Systems Furniture needs to be reconfigured in accordance with the Sublease TermExhibit. Prior to beneficially occupying the Sublet PremisesSub-Sublease Commencement Date, Subtenant shall, at its sole cost and expense, Sub-Sublandlord shall (i) modify the configuration of the Walls/Partitions to construct a reception area and Systems Furniture in the Sublet Sub-Subleased Premises, as necessary, to conform to the configuration set forth on Exhibit B-1, at Sub-Sublandlord’s sole cost and expense, (ii) remove Systems Furniture in excess of those items of Systems Furniture in excess of those set forth on Exhibit B-1, at Sub-Sublandlord’s sole cost, and (iii) coordinate and cooperate with Sub-Subtenant to identify which modification may include removal of some Walls/Partitions and installation of additional Walls/Partitions. Such modifications shall be performed in accordance with the provisions of this Sublease, including, without limitation, Section 7 hereof. Subtenant shall be responsible to keep and maintain the Walls/Partitions that are in excess of those set forth on Exhibit B-1 need to be removed and Systems Furniture stored by Sub-Sublandlord at its expense. The remaining excess Walls/Partitions shall be removed, reconfigured or stored by Sub-Subtenant at its expense. Notwithstanding the foregoing, Sub-Subtenant shall have the right to undertake the restoration and removal requirements set forth herein in good order and conditionlieu of Sub-Sublandlord, reasonable wear and tear exceptedwhich right shall be exercised by delivering written notice thereof to Sub-Sublandlord on or before April 30, 2014. In such event, Sub-Sublandlord shall pay Sub-Subtenant an amount equal to $20,000.00, which cost shall be in lieu of, and accepted by Sub-Subtenant shall be in full satisfaction of, the Sub-Sublandlord’s obligation to restore the Walls/Partitions as set forth hereinabove. Sub-Sublandlord shall pay Sub-Subtenant the agreed amount within ten (10) business days after the aforesaid notice by Sub-Subtenant. If not insured by the Sublandlord, Sub-Subtenant shall insure the Walls/Partitions and Systems Furniture under the special cause of loss business property insurance required by Section 17.A.(1) of the Prime Lease, naming Sublessor Tenant as loss payee under such policy for the Walls/Partitions and Systems Furniture. Notwithstanding the foregoing, Sub-Subtenant shall have the right right, from and after the Sub-Sublease Commencement Date, to perform minor modifications to remove, modify, or alter the Walls/Partitions and/or Systems Furniture in order to accommodate additional employees in the Sublet Premisesat its discretion; provided, so long as however, if (iA) Sub-Subtenant has obtained in fact modified the prior written consent of Sublessor with respect to the plans and specifications for such modifications (which consent may be granted or withheld in Sublessor’s sole discretion, acting in good faith)Walls/Partitions and/or Systems Furniture from that set forth on Exhibit B-1, (iiB) Sub-Subtenant employs vendors and contractors designated by Sublessor terminates this Sub-Sublease effective on or before July 1, 2018, (C) Sub-Sublandlord notifies Sub-Subtenant in connection writing that it will utilize the Sub-Subleased Premises after the effective termination date of the Sub-Sublease either for its own employees or because it has entered into another sub-sublease or occupancy agreement with the performance of such Systems Furniture modificationa third party, and (iiiD) the configuration of Walls/Partitions or Systems Furniture at the time of Sub-Sublease termination is unworkable for the users intended to occupy the Sub-Subleased Premises after the Sub-Sublease termination date, then Sub-Sublandlord and Sub-Subtenant performs shall work cooperatively to design a reconfiguration of the portion of the Walls/Partitions and/or Systems Furniture that had been modified by Sub-Subtenant, which reconfiguration both satisfies the requirements of the subsequent user and offers the least, reasonable amount of reconfiguration work to be performed to the Walls/Partitions and/or Systems Furniture. Sub-Subtenant shall thereupon perform such modifications in accordance with reconfiguration of Walls/Partitions and/or Systems Furniture at Sub-Subtenant’s sole cost and expense upon the provisions later to occur of this Sublease, including Section 7 hereof and removes any such modifications either the termination date of the Sub-Sublease or ten (10) business days after the parties have agreed upon the revised configuration as aforesaid. In no event shall Sub-Subtenant be required to perform more reconfiguration work than would be required to return the configuration of the Walls/Partitions and/or Systems Furniture to the condition set forth in Section 15 hereofon Exhibit B-1, however.

Subtenant shall be responsible to keep and maintain the Walls/Partitions and Systems Furniture in good order and condition, reasonable wear and tear excepted, and shall insure the Walls/Partitions and Systems Furniture under the special cause of loss business property insurance required by Section 17.A.(12(b) of the Prime Lease, naming Sublessor as loss payee under Original Sublease shall be modified by deleting the last sentence of such policy for subsection and substituting the Walls/Partitions and Systems Furniture. following therefor: Subtenant shall have the right to perform minor modifications in the nature of reconfigurations to the Systems Furniture and Walls/Partitions in order to accommodate additional its employees in the Sublet Premises, so long as (i) Subtenant has obtained provides written notice to Sublessor (including a description of the prior written consent modifications performed, but without need of Sublessor with respect to the plans and specifications for such modifications (which consent may be granted preparation or withheld in approval of same by Sublessor’s sole discretion, acting in good faith), (ii) Subtenant employs vendors and contractors designated selected by Subtenant and reasonably approved by Sublessor in connection with the performance of such Systems Furniture modificationmodifications, and (iii) Subtenant performs such modifications in accordance with the provisions of this the Sublease, including Section 7 hereof of the Original Sublease (as modified by the First Amendment), (iv) removal and storage of Walls/Partitions and Systems Furniture are performed in accordance with the provisions of Section 7(a)(i) of the Original Sublease (as modified by Section 8.A.(ii) of the First Amendment), and (iv) Subtenant removes and restores any such modifications as set forth in Section 15 hereofof the Original Sublease (as modified by Section 8.B of the First Amendment).
(ii) Effective as of the Effective Date, Section 7(a)(i) of the Original Sublease shall be modified by adding the following language to the end of such subsection: Notwithstanding anything contained in this Subsection 7(a)(i) to the contrary, (a) Subtenant shall be permitted to make modifications in the nature of reconfigurations to Systems Furniture and Walls/Partitions in accordance with Section 2(b) of the Original Sublease (as modified by Section 8(a)(i) of the First Amendment); (b) Subtenant shall not be required to use contractors, subcontractors or vendors designated by Sublessor in connection with alterations affecting Walls/Partitions or Systems Furniture, but any such proposed contractor, subcontractor or vendor selected by Subtenant shall be subject to Sublessor’s reasonable prior written approval; (b) Subtenant shall use Sublessor’s storage vendors for storage of Walls/Partitions or Systems Furniture, the costs of removal and transport to storage shall be borne by Subtenant, but the costs to store such Walls/Partitions or Systems Furniture shall be borne by Sublessor.

Such modifications shall be performed in accordance with the provisions of this Sublease, including, without limitation, Section 7 hereof. Sub-Subtenant shall be responsible present to keep and maintain designate such items for removal on the Walls/Partitions and Systems Furniture in good order and conditionday that Sub-Sublandlord moves out of the Subleased Premises. If not insured by the Sublandlord, reasonable wear and tear excepted, and Sub-Subtenant shall insure the Walls/Partitions and Systems Furniture under the special cause of loss business property insurance required by Section 17.A.(1) of the Prime Lease, naming Sublessor Tenant as loss payee under such policy for the Walls/Partitions and Systems Furniture. Provided that Sub-Subtenant receives the prior written consent of Sublandlord and Sub-Sublandlord, Sub-Sublandlord’s consent not to be unreasonably withheld, conditioned or delayed, Sub-Subtenant shall have the right to perform minor modifications to the Wall/Partitions and/or Systems Furniture in order to accommodate additional employees in the Sublet Premises, so long as (i) Subtenant has obtained the prior written consent of Sublessor with respect to the plans and specifications for such modifications (which consent may be granted or withheld in Sublessor’s sole discretion, acting in good faith), (ii) Subtenant employs vendors and contractors designated by Sublessor in connection with the performance of such Systems Furniture modification, and (iii) Subtenant performs such modifications in accordance with Section 2(b) of the provisions of this Sublease, including Section 7 hereof and removes any such modifications as set forth in Section 15 hereof.
