Tailings and Residues. All tailings, residues, waste rock, spoiled xxxxx materials and other materials (collectively “Materials”) resulting from Lessee’s operations and activities on the Royalty Property shall be Lessee’s sole property, but shall remain subject to the Royalty if they are processed or reprocessed and Lessee receives revenues from such processing or reprocessing. If materials are processed or reprocessed, the Royalty payable shall be determined by using the best engineering, metallurgical, and technical practices and standards then available.

Tailings and Residues. All tailings, residues, waste rock, spoiled xxxxx materials, and other materials (collectively “Materials”) resulting from Operator's operations and activities on the Property shall be the sole property of Operator, but shall remain subject to the Royalty should the same be processed or reprocessed, as the case may be, in the future and result in the production of Precious Metals or Other Minerals. Notwithstanding the foregoing, Operator shall have the right to dispose of Materials from the Property on or off of the Property and to commingle the same with Material from other properties. In the event Materials are processed or reprocessed, as the case may be, the Royalty payable thereon shall be determined on a pro rata basis as determined by using the best engineering and technical practices then available.

Tailings and Residues. All tailings, residues, waste rock, spoiled xxxxx materials, and other waste materials (collectively “Materials”) resulting from Miner’s operations and activities on the Subject Properties after the Closing Date shall be the sole property of Miner, but shall remain subject to the Royalty should the processing or reprocessing or use of Materials, as the case may be, in the future result in the production of Subject Minerals. Notwithstanding the foregoing, Miner shall have the right to sell or otherwise dispose of Materials from the Subject Properties in an arms’ length transaction with a third party, and to commingle the same with Materials from other properties. In the event Materials produced after the Closing Date from the Subject Properties are processed, reprocessed or used: (i) the amount of Materials on which the Royalty is payable shall be determined using the best engineering and technical practices then available, and (ii) if such Materials are sold or otherwise disposed of to a third party, the Royalty shall only be payable to the extent that the proceeds or credit received by Miner from the sale or other disposition of such Materials exceed the direct costs of processing the Materials for sale or disposition and the costs of transportation borne by Miner in connection with such sale or disposition.

Notwithstanding the foregoing, BUYER shall have the right to dispose of Materials from the Property on or off of the Property and to commingle the same with materials from other properties. In the event Materials from the Property are processed or reprocessed, as the case may be, and regardless of where such processing or reprocessing occurs, the Production Royalty payable thereon shall be determined on a pro rata basis as determined by using the best engineering and technical practices then available.

No Royalty shall be payable by Operator with respect to Gold in materials to which 9.1. Title Maintenance and Taxes. From the date this Agreement takes effect, Operator shall maintain title to the Property, including without limitation, paying when due all taxes on or with respect to the Property and doing all things and making all payments necessary or appropriate to maintain the right, title and interest of Operator and Payee, respectively, in the Mining Properties and under this Agreement. Notwithstanding the Foregoing, Operator shall have no responsibility for any tax assessed upon the Royalty or the value thereof except as provided in section 4.3.2, or based on the net or gross income of Payee.
