Taxes; Tax Exemption. All amounts payable by Client to Panorama hereunder are exclusive of any sales, use and other taxes or duties, however designated, including without limitation, withholding taxes, royalties, know-how payments, customs, privilege, excise, sales, use, value-added and property taxes (collectively "Taxes"). To the extent applicable, Client will be solely responsible for payment of all Taxes and will not withhold any Taxes from any amounts due Panorama. For the avoidance of doubt, Taxes do not include taxes based on Panorama’s income. Client is responsible for determining whether it qualifies for any tax exemption, and if Client claims it is tax-exempt, it will, upon request from Panorama, provide documentation evidencing its tax-exempt status.
Taxes; Tax Exemption. (a)FFRD acknowledges and agrees that all Rates and charges billed to FFRD are computed exclusive of any applicable federal, state or local taxes, whether use, excise, gross receipts or sales taxes, duties, fees or similar liabilities because of the INFINICOM Services furnished to FFRD ("additional Charges"). Unless exempt, FFRD agrees to pay all such Additional Charges (other than INFINICOM general income or property taxes) in addition to all other charges provided for under this Agreement.
Taxes; Tax Exemption. The STUDY GROUP shall be responsible to pay out of its treasury all taxes which are assessed or due, and to keep necessary records and render reports as are required by any federal, state, or local revenue agency. In addition, the STUDY GROUP is responsible, if considered necessary or advisable by the Board of Trustees, to apply for and obtain its own exemption from federal, state, or local taxes and assessments. The STUDY GROUP shall not be included within or receive any benefit from the tax-exempt status of the Church. Similarly, the STUDY GROUP shall not represent to potential donors or to other persons that it is exempt from taxation or that contributions to it are income tax deductible unless a letter of determination of such tax-exempt status has actually been received from appropriate state and federal agencies.
