TCA Board. Subject to the limitations in Board policies, unless otherwise waived, this Contract, state law, and the state constitution, a seven-member board shall set policy for TCA, and oversee the business and affairs of the school. The size of the TCA Board may be reduced or expanded only with the consent of a majority of the parents of children attending TCA on the basis of one vote per family. TCA's initial Directors shall serve on a schedule of graduated terms of three, four and five years. Thereafter, Directors shall serve for three-year terms. If a Director resigns during his or her term, the remaining Directors may appoint a new Director without election by the parents of children attending TCA to serve out the remaining portion of the original term. Upon the expiration of a term of office, Board members or parents of children attending TCA may nominate candidates for Director. Six directors shall be selected by a majority vote of the families of children attending TCA on the basis of one vote per family. One director shall be appointed by the TCA Board in accordance with TCA’s bylaws. In the event only one director is being elected, if no nominee achieves a majority of the votes cast, a runoff election between the two nominees who received the highest vote total shall be conducted. Candidates for Director shall not be required to sign a statement of principles as a condition for consideration as a candidate or membership on the TCA Board.

  • Leave, Board of Directors A nurse who is elected to the Board of Directors of the Ontario Nurses' Association, other than to the office of President, shall be granted upon request such leave(s) of absence as she or he may require to fulfill the duties of the position. Reasonable notice - sufficient to adequately allow the Hospital to minimize disruption of its services shall be given to the Hospital for such leave of absence. Notwithstanding Article 10.04, there shall be no loss of seniority or service for a nurse during such leave of absence. Leave of absence under this provision shall be in addition to the Union leave provided in Article 11.02

  • Senior Management and Board of Directors 1. A Member State shall not require that a juridical person of that Member State appoint to senior management positions, natural persons of any particular nationality.

  • Management Board 6.1 The Management Board is responsible for the overall strategic direction of the Integrated Service. Its functions and terms of references are set out in Schedule 3 Part I to this Agreement.
