Temporary Shut Down Sample Clauses

The Temporary Shut Down clause allows for the suspension of operations or services for a defined period without terminating the underlying agreement. In practice, this clause outlines the conditions under which a party may temporarily halt activities, such as for maintenance, repairs, or unforeseen events, and may specify notice requirements or obligations during the shutdown period. Its core function is to provide flexibility for both parties to pause operations when necessary, while preserving the contractual relationship and minimizing potential disputes over interruptions.
Temporary Shut Down. Except for the obligations contained in Section 11.8, the requirements, obligations and rights under this Agreement will be suspended during any period that the Refinery or Fertilizer Complex is shut down. A temporary shutdown of the Refinery or Fertilizer Complex will be deemed to have occurred and be continuing for such period as CRRM or CRNF may reasonably designate. CRNF will provide notice of a shutdown of the Refinery or Fertilizer Complex to Savage upon such shutdown. However, CRNF will continue to pay the Monthly Fee to Savage pursuant to Section 11.1.
Temporary Shut Down. Except for the obligations contained in Section 7.6, the requirements, obligations and rights under this Agreement shall be suspended during any period that the Refinery or Fertilizer Complex is shut down. A temporary shutdown of the Refinery or Fertilizer Complex shall be deemed to have occurred and be continuing for such period as Farmland shall reasonably designate. Farmland shall give Banks notice of a shutdown of the Refinery or Fertilizer Complex upon such shutdown. However, Banks shall continue to be compensated in accordance with the rate structure described in Section 7.2.

  • Temporary Suspension JetBrains reserves the right to suspend Customer’s access to JetBrains Products if Customer or User’s use of Product is in violation of this Agreement or disrupts or imminently threatens the security, integrity, or availability of a Product.

  • Temporary Layoff The Employer may temporarily layoff an employee for up to ninety (90) days due to an unanticipated loss of funding, revenue shortfall, lack of work, shortage of material or equipment, or other unexpected or unusual reasons. An employee will normally receive seven (7) days notice of a temporary layoff.

  • Temporary Layoffs A. The Employer may initiate a temporary layoff for up to twelve (12) working days per fiscal year. Employees will be given thirty (30) days’ notice before the effective date of a temporary layoff. Employees may request alternative temporary layoff days from their manager or supervisor and any requests will be considered and approved or denied in writing. B. A temporary layoff will not affect an employee’s incremental movement, vacation and sick leave accrual rates, or seniority. C. A temporary layoff is leave without pay. An employee may not use any leave for a temporary layoff day(s).

  • Temporary Roads As necessary to attain stabilization of roadbed and fill slopes of Temporary Roads, Purchaser shall employ such measures as out- sloping, drainage dips, and water-spreading ditches.

  • Temporary Upgrade An employee in a temporary upgrade status shall have no right to grieve or arbitrate release from such temporary upgrade status.
