Common use of Tenant’s Plans Clause in Contracts

Tenant’s Plans. Tenant shall diligently pursue the preparation of all drawings, plans and specifications for Tenant Improvements in accordance with this Paragraph 5(a). All such plans, drawings and specifications shall be performed by architects, engineers and/or consultants mutually acceptable to Landlord and Tenant, and shall include the following: (i) a space plan for the Premises; (ii) complete architectural, engineering and other plans for the Tenant Improvements (except as included in the Warm Shell Plans); and (iii) a list of tenant improvement building standards for interior design, including a schedule of all finishes. Items (ii) and (iii) above are collectively referred to herein as "Working Drawings". The space plan and Working Drawings shall provide for high quality generic office space, with open cubicles and perimeter private offices, and with corridors, lobbies, bathrooms, mechanical and electrical systems, and fire exits in a design reasonably acceptable to Landlord. The space plan and Working Drawings also shall (x) comply with all applicable Legal Requirements, (y) comply and be consistent with the DDA, and (z) comply with Landlord's Plans and the Warm Shell Plans. Within thirty (20) days after Landlord has delivered Landlord's Plans and the Warm Shell Plans and obtained the building permit for construction of the Base Building, Tenant shall submit its space plan to Landlord, for Landlord's review and approval, which approval shall not be unreasonably withheld so long as the Tenant Improvements contemplated thereby (I) are consistent with the immediately preceding two sentences; (II) are generally generic, spread throughout the entire Premises in a typical and appropriate manner, and with drop ceilings throughout the Premises; (III) comply with applicable Laws; (IV) do not adversely affect the structure of the Building; (V) do not put an undue burden on or otherwise adversely affect the Building Systems; (VI) are typically found in a high quality office build-out; and (VII) are approved by any Mortgagee (if such approval is required). Within five (5) business days after such submission, Landlord shall either approve or disapprove the space plan. Tenant shall make any changes necessary in order to correct any item identified by Landlord as grounds for its disapproval, and shall resubmit the corrected space plan to Landlord within five (5) business days after Landlord's disapproval. Within five (5) business days after Landlord receives the revised space plan, Landlord shall approve or disapprove it. This procedure shall be repeated until the space plan is finally approved by Landlord and written approval has been delivered to Tenant. Tenant’s Plans. 1. Prior to Tenant preparing Tenant's Plans, Tenant and its architect and engineer(s) shall thoroughly familiarize themselves with all local building codes, this EXHIBIT C and the Tenant Package, as well as verify by physical inspection, the accuracy and completeness of the existing site conditions. Tenant's Plans and construction shall be prepared and performed with full knowledge of and in compliance with the Tenant Package (including, without limitation, the use of required lien waiver forms provided therein), this EXHIBIT C and Legal Requirements including, but not limited to all energy conservation, Hazardous Materials Laws, and handicap access requirements. Tenant's Plans shall be prepared by architect(s) and engineer(s) fully qualified and licensed in the State of California. 2. On or before December 22, 2007, Tenant shall diligently pursue the preparation of all drawingssubmit to Landlord, plans for Landlord's preliminary review, fully detailed and specifications dimensioned 1/4" scale preliminary design drawings for Tenant Improvements in accordance with this Paragraph 5(a)Tenant's Premises. All such plans, drawings and specifications shall be performed by architects, engineers and/or consultants mutually acceptable to Landlord and Tenant, and This preliminary submittal shall include the following: (ia) a space plan for the Premises; three (ii3) complete architecturalsets of prints and one (1) CD showing storefront elevations, engineering and other plans for the Tenant Improvements (except as included in the Warm Shell Plans); and (iii) a list of tenant improvement building standards for interior designfloorplan, including a schedule of all finishes. Items (ii) and (iii) above are collectively referred to herein as "Working Drawings". The space plan and Working Drawings shall provide for high quality generic office spacereflected ceiling plan, with open cubicles and perimeter private officesfixture plans, and with corridors, lobbies, bathrooms, mechanical sections through the storefront and electrical systems, and fire exits in a design reasonably acceptable to Landlord. The space plan and Working Drawings also shall (x) comply with all applicable Legal Requirementsstorefront signage, (yb) comply one (1) material sample and be consistent with the DDAcolor board, and (zc) comply with Landlord's Plans and the Warm Shell Plans. Within thirty (20) days after Landlord has delivered Landlord's Plans and the Warm Shell Plans and obtained the building permit for construction of the Base Building, Tenant shall submit its space plan to if requested by Landlord, for Landlordone (1) completely colored rendering of Tenant's review and approval, which approval shall not be unreasonably withheld so long as the Tenant Improvements contemplated thereby (I) are consistent with the immediately preceding two sentences; (II) are generally generic, spread throughout the entire Premises in a typical and appropriate manner, and with drop ceilings throughout the Premises; (III) comply with applicable Laws; (IV) do not adversely affect the structure storefront design and/or photographs of the Building; (V) do not put an undue burden on or otherwise adversely affect the Building Systems; (VI) are typically found in a high quality office build-out; and (VII) are approved by any Mortgagee (if such approval is required). Within five (5) business days after such submission, Landlord shall either approve or disapprove the space plan. Tenant shall make any changes necessary in order to correct any item identified by Landlord as grounds for its disapproval, and shall resubmit the corrected space plan to Landlord within five (5) business days after LandlordTenant's disapproval. Within five (5) business days after Landlord receives the revised space plan, Landlord shall approve or disapprove it. This procedure shall be repeated until the space plan is finally approved by Landlord and written approval has been delivered to Tenantexisting prototype. 3. Within thirty (30) days after Landlord has finally approved Tenantfollowing Landlord's space planapproval (or approval with comments) of the aforementioned preliminary submittal, Tenant shall submit its Working Drawings and a pallet of interior colors and finishes to Landlord Landlord, for Landlord's review andfinal review, six (6) sets of prints and one CD of fully detailed and dimensioned 1/4" scale final construction drawings for Tenant's Premises, which shall include the following: (a) architectural drawings including plan views of the storefront, floor areas, and reflected ceiling; elevations of the storefront and interiors; sections through the storefront, partitions, and along the longitudinal axis; door, finish, and color schedules; and final design drawings for storefront signs in accordance with the Tenant Package; (b) electrical drawings including circuitry plans, panel schedules, riser diagrams, load calculations, and all calculations and forms required by applicable Legal Requirements; (c) all mechanical drawings, including but not limited to heating, ventilating, and air conditioning design calculations, an equipment schedule and specifications, the design for the air distribution duct work system, smoke exhaust system (if required), exhaust fan(s), plumbing fixtures and piping specifications; (d) fire sprinkler plans including distribution piping and finish requirements from Landlord's system stub-in point; and (e) structural drawings indicating any Tenant design elements, alterations, additions and/or reinforcements to Landlord's structure required to accommodate Tenant's Work, and all calculations and completed forms required by Legal Requirements. 4. In the event Landlord responds to any submittal of Tenant's Plans with a request for modification(s), Tenant shall resubmit such portion of Tenant's Plans with the requested modification(s) within fifteen (15) days following Landlord's request.

The space plan and Working Drawings also shall (x) comply with all applicable Legal Requirements, and (y) comply and be consistent with the DDA, and (z) comply with Landlord's Plans and the Warm Shell Modified Core Plans. Within thirty (On or before August 20) days after Landlord has delivered Landlord's Plans and the Warm Shell Plans and obtained the building permit for construction of the Base Building, 2000, Tenant shall submit its space plan to Landlord, for Landlord's review and approval, which approval shall not be unreasonably withheld so long as the Tenant Improvements tenant improvements contemplated thereby therein (Ii) are consistent with the immediately preceding two sentences; (II) are ii)are generally generic, spread throughout the entire Premises in a typical and appropriate manner, and generic with drop ceilings throughout the Premises; throughout, (IIIiii) comply with applicable Laws, Mortgages and Encumbrances; (IViv) do not adversely affect the structure of the BuildingBuilding(s); (Vv) do not put an undue burden on or otherwise adversely affect the Building Systems; (VIvi) are typically found in a high quality office software company build-out; and (VII) are approved by any Mortgagee (if such approval is required). Within five (5) business days after such submission, Landlord shall either approve or disapprove the space plan. Tenant shall make any changes necessary in order to correct any item identified by Landlord as grounds for its disapproval, and shall resubmit the corrected space plan to Landlord within as soon as reasonably possible, but no later than five (5) business days after Landlord's disapproval. Within No later than five (5) business days after Landlord receives the revised space plan, Landlord shall approve or disapprove it. This procedure shall be repeated until the space plan is finally approved by Landlord and written approval has been delivered to Tenant. Within thirty (30) days after Landlord has finally approved Tenant's space plan, Tenant shall submit its Working Drawings and a pallet of interior colors and finishes to Landlord for Landlord's review andand approval in Landlord's reasonable discretion, provided that Landlord shall not be obligated to approve any Tenant Improvement which does not satisfy the requirements set forth above with respect to the space plan or which, in Landlord's reasonable judgment, would materially and adversely affect the value of the Premises. Landlord's approval or disapproval of such Working Drawings and pallet, and Tenant's response thereto, shall follow the procedure described above with respect to the space plan, except that each time period shall be changed from five (5) business days to ten (10) business days. All items finally approved by Landlord pursuant to this Paragraph 6(a) are referred to herein collectively as "Tenant's Plans". Once approved by Landlord, no changes, modifications or alterations shall be made to Tenant's Plans without the prior written approval of Landlord, in Landlord's reasonable discretion.
